During the state of emergency, various pieces of legislation have been published which affect the corporate bodies of companies. Some of the key new provisions affect matters relating to winding up and shareholders’ right of withdrawal.

In this table we outline the new rules that companies must be aware of in relation to the various grounds for winding up, arising from the measures adopted in royal decree-laws 8/2020, 11/2020 and 16/2020. On 30 April 2020 took effect Royal Decree-law 16/2020 of 28 April 2020, which includes a new set of measures within the judicial system to deal with the COVID-19 situation.

We highlight below the main measures adopted below:

1. Procedural measures

• Part of August is made a working month, on an exceptional basis

The 11th to the 31st of August 2020 will be working days for all judicial proceedings. Saturdays, Sundays and public holidays are excluded except for proceedings for which these are already working days.

The Spanish Government has just approved relevant changes to the Spanish Insolvency Act in view of the current situation in Spain pursuant to the COVID-19 outbreak.

The new Royal Decree 16/2020, of 28 April

Before Royal Decree 16/2020, of 28 April ("RD 16/2020"), was approved, certain temporary changes had already been introduced as a matter of urgency to Spanish Act 22/2003, of 9 July (the "Spanish Insolvency Act"), by Royal Decree 8/2020, of 17 March ("RD 8/2020").

The new measures seek to overcome the expected high rate of insolvency, refinancing, and corporate disputes arising from the COVID-19 crisis

With the aim of managing the potential ramifications of the measures that have so far been implemented in the context of the COVID-19 crisis, the Spanish Government has approved Royal Decree-law 16/2020, of 28 April, of procedural and organisational measures to tackle COVID-19 connected to the administration of justice.
