    Proposed EU Directive on harmonisation of avoidance actions to have limited effect on Belgian law

    The principles outlined in the European Commission's proposal for a Directive harmonising certain aspects of insolvency law is not expected to lead to extensive reform of Belgian rules since Belgian law already provides a clear set of rules that give creditors and trustees instruments to avoid contestable acts in the context of bankruptcy, which, in some cases, go further than the principles set out in this Proposal.

    Belgian Supreme Court rules on the level of detail of the mandatory statement by third-party garnishees

    According to Section 1445 of the Belgian Judicial Code (JC), any creditor can, on the basis of authentic or private documents, levy a (conservatory) garnishment on the sums or goods a third party owes to its debtor. After notification of the garnishment order, the third-party garnishee can no longer hand over these sums and/or goods to the debtor (Section 1451 JC).

    Conservatory garnishments are typically used by creditors to put pressure on their debtor (eg notifying a garnishee order to a debtor’s bank, which then freezes the debtor’s accounts).

    Belgian Mobility Act: Opportunities for Cross-border Restructurings

    On May 25, 2023, Belgium enacted the Mobility Act, which transposes Directive (EU) 2019/2121 (the EU Mobility Directive). The EU Mobility Directive creates a comprehensive framework for corporate cross-border restructurings. It builds on the foundations of the 2005 Directive on cross-border mergers.

    Waiver of debt in a reorganization agreement is now taxed

    Recently, insolvency law was fundamentally amended in terms of reorganization procedures. The tax legislation was subsequently adapted to these new procedures, at the same time changing the content of some important tax rules.
