    Belgium proceeds with insolvency reforms with EU Restructuring Directive implementation

    The new law emphasises preventive restructuring, cross-border cooperation and equitable treatment of creditors

    The European Union has recognised the need for harmonised insolvency laws across its member states and has taken a significant step forward with the introduction of the new EU Restructuring Directive ((EU) 2019/1023).

    This directive aims to establish a common framework for insolvency proceedings, thereby enhancing cross-border cooperation and safeguarding the interests of all stakeholders involved.

    The Private Bankruptcy Preparation: Pre-Packing to preserve Enterprise Value
    2023-08-25

    From 1 September 2023, Belgian insolvency law will provide a new discrete preparatory procedure before bankruptcy. It’s aimed at facilitating a value-maximising transfer of assets or activities as a going concern in the interest of creditors and employees.

    Collective Plan Reorganisations: The New Voting System for Large Companies
    2023-08-25

    From 1 September 2023, the Belgian reorganisation procedure by way of a collective plan will be radically changed for large companies. It introduces the obligation to group creditors (and shareholders) into “classes” for the purpose of voting on a restructuring plan.

    The Belgian Act of 7 June 2023 transposing EU Restructuring Directive (2019/1023) introduces new rules specifically aimed at large companies filing for a judicial reorganisation through a collective plan (similar to the US Chapter 11 or UK Restructuring Plan procedure).

    Le droit de l’insolvabilité réformé dès le 1er septembre 2023

    Le 20 juin 2019, le Parlement Européen a adopté une nouvelle directive qui harmonise pour la première fois le droit de l’insolvabilité au niveau européen.

    L’attente fut longue avant que le processus de transposition en droit belge n’aboutisse enfin par l’adoption d’un projet de loi en mai 2023, et par la publication de la loi le 7 juin 2023.

    La loi, dont le maître mot sera l’efficacité, entrera en vigueur le 1er septembre 2023.

    Reform of the insolvency laws from September, 1 2023
    2023-08-25

    On June, 20 2019, the European Parliament adopted a new directive harmonising insolvency law at a European level for the first time.

    It was a long wait before the process of transposition into Belgian law finally came to fruition with the adoption in May 2023, and the publication of the law on June, 7 2023.

    The law, whose guiding principle is “efficiency”, will come into force on September, 1 2023.

    Private Reorganisation Proceedings: Avoiding negative Publicity
    2023-08-25

    From 1 September 2023, judicial reorganisation proceedings by way of an amicable agreement as well as those with a view to a collective plan will both have a private variant. This will help avoid negative publicity and allowing the debtor to prepare its restructuring in all quietness.

    As a reminder, a company confronted with financial difficulties threatening its continuity may file for judicial reorganisation proceedings to get protection against enforcement actions and bankruptcy filings by its creditors.

    The Restructuring Expert: The New Kid on the Block
    2023-08-25

    From 1 September 2023, the restructuring expert will make their first appearance in Belgian restructuring law. This new court-appointed practitioner can be assigned a variety of tasks, ranging from assisting the debtor in negotiations with creditors to supervising the restructuring process and compliance with creditor information obligations.

    Hervorming van het insolventierecht vanaf 1 september 2023

    Op 20 juni 2019 heeft het Europees Parlement voor het eerst een nieuwe richtlijn aangenomen die het insolventierecht op Europees niveau harmoniseert.

    Het was lang wachten tot het proces van omzetting in Belgisch recht eindelijk werd afgerond met de goedkeuring van een wetsontwerp in mei 2023 en de publicatie van de wet op 7 juni 2023.

    De wet, waarvan efficiëntie het sleutelwoord is, zal op 1 september 2023 in werking treden.

    Dit is een belangrijke stap in de richting van de modernisering van de insolventiewetgeving.

    New insolvency landscape on the horizon: more options for companies to reorganise and restructure
    2023-08-22

    Belgium had accumulated a significant legislative backlog within insolvency law. The European Directive 2019/1023 on restructuring had to be transposed into national law by the member states by 17 July 2022 at the latest. The Belgian government did not submit a draft bill to this effect until 20 March 2023. This draft has since been voted into law and will enter into force on 1 September 2023.

    Several amendments are being made to (among others) Book XX of the Belgian Economic Law. The main amendments are briefly discussed below.

    The new Belgian restructuring plan for large enterprises: debt-to-equity swap
    2023-07-20

    The long anticipated law of 7 June 2023 implementing the European Directive on restructuring and insolvency brings about a major reform of Belgian insolvency law. Among various other innovations, it introduces a new judicial reorganisation through collective agreement for large enterprises.

    The new law will apply to all procedures opened as from 1 September 2023.

    In this second of two client alerts, we will examine to which extent creditors can seek to impose a debt-to-equity swap on shareholders within the new judicial reorganisation for large enterprises.
