    Insolvency administrator's right to sell leased assets in Germany

    Background

    The German Insolvency Act says an insolvency administrator may sell a "moveable object" on which a right to separate satisfaction (Absonderungsrecht) exists if such object is in his possession. The right to separate satisfaction entitles creditors with such a right to be satisfied ahead of all other creditors from the proceeds of selling a separate pool of assets within the insolvent estate

    Der frisch veröffentliche Bericht zur Evaluation des ESUG stellt fest, dass die durch das ESUG eingeführten Änderungen insgesamt positiv aufgenommen worden sind, aber an vielen Stellen noch Verbesserungsbedarf besteht. Sollte tatsächlich Anfang 2019 die EU-Restrukturierungsrichtlinie verabschiedet werden, hätte der Gesetzgeber die Möglichkeit in einem (großen) Wurf, die ESUG Regelungen zu verbessern und die Anforderungen der EU an ein vorinsolvenzliches Sanierungsverfahren umzusetzen.

    New rules on directors’ liability in Germany

    The German Federal Court of Justice has tightened its grip on company directors again. In a recent judgment on directors’ liability in insolvency situations, the Court clarified the scope of sections 60- 61 of the German Insolvency Act.

    Evaluation of the ESUG - essentially a success!?

    The recently published report on the evaluation of the ESUG, the German law to facilitate the restructuring of companies, states that the changes introduced by the ESUG have been received positively overall, but that there is still room for improvement in many areas. Should the EU Restructuring Directive actually be adopted at the beginning of 2019, the legislator would have the opportunity to improve the ESUG legislation and implement the EU requirements for pre-insolvency restructuring proceedings in one bill.

    The Situation: Claims brought by insolvency administrators under Section 64 of the German Limited Liability Companies Act are not only among the most common, but also the most financially significant, claims faced by the directors of distressed German companies.

    The Development: In a landmark decision, the Higher Regional Court of Düsseldorf recently determined that claims brought under Section 64 of the GmbHG are not covered by insuring provisions found in many D&O insurance policies.
