    The Situation: Claims brought by insolvency administrators under Section 64 of the German Limited Liability Companies Act are not only among the most common, but also the most financially significant, claims faced by the directors of distressed German companies.

    The Development: In a landmark decision, the Higher Regional Court of Düsseldorf recently determined that claims brought under Section 64 of the GmbHG are not covered by insuring provisions found in many D&O insurance policies.

    Background

    The German Insolvency Act says an insolvency administrator may sell a "moveable object" on which a right to separate satisfaction (Absonderungsrecht) exists if such object is in his possession. The right to separate satisfaction entitles creditors with such a right to be satisfied ahead of all other creditors from the proceeds of selling a separate pool of assets within the insolvent estate

    Repossessing aircraft in Germany: expect the unexpected

    Amid an increasingly volatile aviation industry pervaded by headline-grabbing failures (think Monarch Airlines and Air Berlin), lessors’ and financiers’ need for effective mechanisms to recover their assets has also grown. While repossessing aircraft is never a desired first option – after all, this does stem the flow of revenues derived from the aircraft’s operation – regrettably it must be resorted to when negotiations with the airline fail.

    Seit einer unveröffentlichten Entscheidung des OLG Celle vom 01. April 2016 (8 W 20/16) wird intensiv darüber diskutiert, ob Ansprüche gegen Geschäftsführer nach § 64 GmbHG wegen Zahlungen nach Insolvenzreife unter der D&O-Versicherung versichert sind. Mit Urteil vom 20. Juli 2018 hat nunmehr auch das OLG Düsseldorf entschieden, dass eine D&O-Versicherung grundsätzlich nicht die GmbH-Geschäftsführerhaftung gemäß § 64 GmbHG wegen nach Insolvenzreife getätigter rechtswidriger Zahlungen deckt.

    New Court Ruling on the Scope of D&O Insurance Coverage Calls Directors and Officers to Action

    On 20 July 2018, the Higher Regional Court of Düsseldorf ruled that standard D&O insurances do not cover restitution claims for payments which managing directors of a limited liability company make after the company becomes insolvent. Whereas it is possible to obtain coverage for restitution claims, many older policies do not provide for this. Directors are well advised to check the scope of their insurance coverage.
