    New German restructuring law finally comes into force

    As reported earlier, a new corporate restructuring law will be enacted in Germany. The new law's centerpiece will be the so-called stabilization and restructuring framework ("SRF"). The German Parliament (the Bundestag) passed the law on 17 December 2020. On 18 December 2020 the law was also accepted by the Federal Council (the Bundesrat). It will come into force on 1 January 2021, already.

    The new German preventive restructuring regime in force from 1 January 2021

    On 17 December 2020 the German Parliament has passed the rules on the further development of the German restructuring and insolvency law and it will now enter into force on 1 January 2021. An essential part of the law is the introduction of a corporate stabilisation and restructuring regime, which establishes a legal framework for out-of-court restructurings in Germany on the basis of the EU Restructuring Directive of 20 June 2019 (Directive (EU) 2019/1023) (the Preventive Restructuring Framework).

    Das neue Restrukturierungsrecht ist da

    Wie bereits berichtet erhält Deutschland ein neues Restrukturierungsrecht für Unternehmen, dessen Herzstück der sogenannte Stabilisierungs- und Restrukturierungsrahmen („SRR“) ist. Der Bundestag hat das entsprechende Gesetz am 17. Dezember 2020 verabschiedet. Am 18. Dezember 2020 wurde das Gesetz auch durch den Bundesrat gebilligt. Es wird bereits am 1. Januar 2021 in Kraft treten.

    New amendments to insolvency and restructuring law in Germany - what debtors and creditors need to know

    A draft bill published on 19 September 2020 intends to further develop the existing restructuring and insolvency law in Germany.

    It includes fundamental amendments to German insolvency and restructuring law to stabilise the restructuring of businesses. It also ratifies the Directive (EU) 2019/1023 of the European Parliament and of the Counsel 20 June 2019 on restructuring and insolvency into German national law. The draft bill will come into force on 1 January 2021.

    Nach einer umwandlungsrechtlichen Spaltung haften die übertragende Gesellschaft und die übernehmende Gesellschaft gegenüber den Versorgungsberechtigten zehn Jahre lang als Gesamtschuldner für die Pensionsverpflichtungen. Wird eine der beteiligten Gesellschaften insolvent, hat der Pensions-Sicherungs-Verein (PSV) einen Anspruch gegen die andere beteiligte Gesellschaft, denn der Anspruch der Versorgungsberechtigten gegen die andere Gesellschaft aufgrund der Gesamtschuld geht auf ihn über.
