    Das produzierende Gewerbe in Deutschland wird derzeit erheblich in Mitleidenschaft gezogen. Grund sind massive Materialpreis- und Energiekostenerhöhungen aufgrund der mittelbaren Folgen der Corona-Pandemie, gestörten Lieferketten und dem Ukrainekrieg. Als Folge der Wirtschaftskrise sowie der Insolvenz eines bedeutenden Kunden hat sich auch die in Osnabrück ansässige Berner GmbH entschieden, ihren Restrukturierungskurs im Rahmen eines am 23.03.2023 beim zuständigen Amtsgericht in Osnabrück gestellten Antrages auf Einleitung eines Insolvenzverfahrens in Eigenverwaltung fortzusetzen.

    Berner GmbH continues restructuring in self-administration

    The manufacturing sector in Germany is currently being hit hard. The reasons are massive increases in material prices and energy costs due to the indirect consequences of the Corona pandemic, disrupted supply chains and the Ukraine war. As a consequence of the economic crisis and insolvency of an important customer, Berner GmbH, based in Osnabrück, decided to continue its restructuring course within the framework of a petition filed on 23.03.2023 with the competent Osnabrück Local Court for the initiation of insolvency proceedings in self -administration.

    Insolvenzverwalter hat kein Verwertungsrecht für sonstige Rechte in Analogie zu § 166 InsO

    Mit Entscheidung des BGH vom 27. Oktober 2022 (IX ZR 145/21) hat dieser die insolvenzrechtliche Streitigkeit zum Verwertungsrecht des Insolvenzverwalters entschieden. Ausweislich der Entscheidung erstreckt sich das Verwertungsrecht des Insolvenzverwalters nach § 166 InsO nicht auf sonstige Rechte, wie insbesondere verpfändete Gesellschaftsanteile oder abgetretene oder verpfändete IP-Rechte erstreckt. Der BGH lehnt eine analoge Anwendung ausdrücklich ab.

    German D&O insurers avoid coverage of directors' liabilities in insolvencies

    Under German law, company directors have a statutory duty to file for insolvency once the company has become insolvent or over-indebted. Company directors can be held personally liable for any payments they make after that point of time unless they prove that they exercised reasonable care, skill and diligence. After the German Federal Court of Justice (Bundesgerichtshof) clarified that standard terms and conditions of German D&O insurance contracts cover this directors’ liability, many D&O insurers have tried to find new ways to avoid their coverage.

    Since the beginning of the 21st century and the first big wave of security enforcements in Germany, who holds the entitlement to enforce a share pledge has caused countless disputes between pledgees and insolvency administrators. This issue has now been resolved by a recently released judgment of the German Federal Supreme Court of 27 Oct 2022 (case no.: IX ZR 145/21), which has now held that pledged shares as well as pledges over certain other non-movable rights such as trademarks or patents can be enforced by the pledgee (only) and not by the administrator.

    The Karstadt-Galeria-Kaufhof Group - an "old German friend" in restructuring

    Galeria Karstadt Kaufhof GmbH ("GKK"), based in Essen, Germany, is the second largest department store chain in Europe with 131 stores and 18,000 employees. As some may recall, this is not the first time things have gone badly for the department store chain. Back in the 2000s, under CEO Thomas Middelhoff, who was sentenced to three years in prison in 2014 for 27 counts of embezzlement and tax evasion, the company's balance sheets were less than stellar.

    Der BGH hat mit Entscheidung vom 27. Oktober 2022 (IX ZR 145/21) eine langwährende, insolvenzrechtliche Streitigkeit entschieden. In seiner Entscheidung nahm der BGH an, dass sich das Verwertungsrecht des Insolvenzverwalters nach § 166 InsO nicht auf sonstige Rechte erstreckt. Dies legt einen lange bestehenden und intensiv geführten Streit bei, ob sich das Verwertungsrecht neben beweglichen Sachen im Besitz des Verwalters und abgetretenen Forderungen auch auf sonstige Rechte wie insbesondere verpfändete Gesellschaftsanteile oder abgetretene oder verpfändete IP-Rechte erstreckt.
