    The Karstadt-Galeria-Kaufhof Group - an "old German friend" in restructuring

    Galeria Karstadt Kaufhof GmbH ("GKK"), based in Essen, Germany, is the second largest department store chain in Europe with 131 stores and 18,000 employees. As some may recall, this is not the first time things have gone badly for the department store chain. Back in the 2000s, under CEO Thomas Middelhoff, who was sentenced to three years in prison in 2014 for 27 counts of embezzlement and tax evasion, the company's balance sheets were less than stellar.

    Neue Klarheit für die Insolvenz - Keine Verwertungsrechte analog § 166 InsO des Insolvenzverwalters

    Der BGH hat mit Entscheidung vom 27. Oktober 2022 (IX ZR 145/21) eine langwährende, insolvenzrechtliche Streitigkeit entschieden. In seiner Entscheidung nahm der BGH an, dass sich das Verwertungsrecht des Insolvenzverwalters nach § 166 InsO nicht auf sonstige Rechte erstreckt. Dies legt einen lange bestehenden und intensiv geführten Streit bei, ob sich das Verwertungsrecht neben beweglichen Sachen im Besitz des Verwalters und abgetretenen Forderungen auch auf sonstige Rechte wie insbesondere verpfändete Gesellschaftsanteile oder abgetretene oder verpfändete IP-Rechte erstreckt.

    New clarity for German insolvency proceedings - No extended realization rights

    In its decision of October 27, 2022 (IX ZR 145/21), the German Federal Court of Justice (BGH) ruled on a long-running dispute under German insolvency law. In its decision, the Court assumed that the insolvency administrator's right of realization under section 166 German Insolvency Code (InsO) does not extend to other rights.

    German court ruling is bad news for shareholders of insolvent payment services provider Wirecard

    On 23 November 2022, the Regional Court of Munich ruled that shareholders' damages claims for breach of capital markets law rank as equity and not as general unsecured claims in the Wirecard insolvency. As a result, the shareholders can only recover from the insolvent estate in the unlikely event that all insolvency creditors' claims are fully satisfied.

    In seinem Urteil vom 6. April 2022 hat das OLG Hamm darauf erkannt, dass sechs frühere Aufsichtsratsmitglieder der 2009 insolventen Arcandor AG, ehemals Holding des Karstadt-Konzerns, der Insolvenzmasse der Arcandor AG auf rund 53,6 Mio. Euro Schadenersatz haften.
