    2017年1月07日,在《人民法院报》最新公布的 “2016年度人民法院十大民事行政案件”中,金杜律师事务所代理的江苏舜天船舶股份有限公司(简称“舜天船舶”)破产重整案名列其中。该案不仅是适用最高人民法院和证监会之间会商机制的首个案例,也是上市公司重整同时完成重大资产重组的首个案例,在案件处理的参考性以及对于市场和社会的整体影响方面均意义重大。每年由《人民法院报》编辑部评出的十大案件均为在过去一年中全国各级法院审判的具有重大社会影响力、案情疑难复杂或审判结果有重大突破和借鉴作用的典型案件。

    舜天船舶是一家从事船舶和非船舶贸易的国有控股上市公司。受航运及船舶市场持续低迷的影响,自2014年起舜天船舶的经营危机和债务危机开始显现,且日趋严重,渐至资不抵债,面临严峻的退市风险。最终舜天船舶于2016年2月5日被南京市中级人民法院(简称“南京中院”)裁定进入破产重整程序。南京中院通过公开选任方式,经过层层选拔,最终确定金杜为本案管理人,负责开展相关重整工作。

    ケイマン諸島と香港の裁判所は、この数ヶ月、ケイマン諸島の会社を再編することを目的とするクロスボーダーの申立てについて、関連する法域における裁判所がどのようにこれを処理するのか実用的な方向性を示しました。これは、国際礼譲および修正された普遍主義の原則に沿ったものです。

    裁判所のスタート地点

    手続が一つ以上のコモンローの法域で開始されたが、清算人の任命が未了の場合、裁判所が修正された普遍主義を適用するためのスタート地点は、倒産の主手続の役割を担うのはどの法域がより適当かということを考えることでしょう。最近の香港およびケイマン諸島の両地域の裁判例では、長年の先例に沿いながら、通常この法域とは会社の設立地であることを確認しました。なぜならば投資家やサービス・プロバイダーおよび債権者が通常関係しているからであり、とりわけ、会社の登録された営業所であったり、その取締役会の義務やその定款を規定する法律の地であるからです。

    China’s Suntech bankruptcy

    On March 20, Suntech, a Chinese solar manufacturing company, declared bankruptcy. Questions have arisen on how the country’s solar industry will now cope with overcapacity issues which stem from a decline in demand from Europe. The declaration comes a week after the company announced it had defaulted on $541 million of bonds.

    Hanjin Shipping - Current jurisdictional status and options - China

    The Chinese Maritime Courts are not obliged to recognise and/or enforce foreign courts' orders, therefore Hanjin's creditors could still arrest Hanjin-related vessels in China if they have maritime claims (recognised under Chinese law) against the registered owners and/or bareboat charterers of the said vessels.

    Container leasing companies and bunker suppliers could also file applications in order to request that the corresponding Chinese Maritime Courts order Hanjin to return the leased containers to Hanjin or the bunkers supplied to Hanjin in certain circumstances.

    Validity of mortgages established on vessels owned by company in bankruptcy

    On 21 October 2013, the financially troubled company Hainan PO Shipping applied for bankruptcy and winding up before the People’s Court of Hainan Yangpu Economic & Development Zone (“Yangpu Court”). The Yangpu Court approved the application on 31 October 2013, and the Court has since nominated the administrators of Hainan PO Shipping.

    Moral hazard hits China ‒ be prepared for the fallout

    We are seeing attempts by the Chinese Government to provide the market with more sophisticated tools for dealing with unprofitable companies.

    China is attempting to align its insolvency regime to international standards and introduce additional tools for dealing with the country's rising debt load.

    Australian lenders with exposures to these debts (particularly in the coal, steel, manufacturing, cement, shipbuilding, solar, heavy machinery, mining and property sectors) should reassess insolvency risk and understand their options.

    Judicial interpretations regarding Enterprise Bankruptcy Law in the process of investigation and research

    The Supreme People’s Court has begun drafting the Regulations of Several Issues Concerning the Application of Enterprises Bankruptcy Law (Tentative Name), so as to conform with the implementation of the Enterprise Bankruptcy Law. The regulations are meant to interpret the EnterpriseBankruptcy Law in an integrated and systematic way and guide all levels of the people’s courts in adjudicating enterprise bankruptcy cases. The regulations are in the early state of drafting.
