    Financial restructurings are becoming increasingly common in the current financial climate, also in the Netherlands. Since the implementation of the Dutch scheme of arrangement on 1 January 2021, a relatively new tool to restructure debts of Dutch corporate entities in order to prevent their insolvency is available in the Netherlands. Under the Dutch scheme of arrangement, a creditors composition is binding on all creditors if a sufficient number of (classes of) creditors vote in favour of the scheme.     Het faillissement van Heiploeg uit 2014 is een bron van principiële geschillen en procedures. Deze Heiploeg-uitspraak werpt de vraag op onder welke voorwaarden een (door de Europese Commissie) aan Heiploeg opgelegde kartelboete kan worden verhaald op een (in dit geval gewezen) bestuurder. In de literatuur is vanuit meerdere invalshoeken de nodige aandacht besteed aan de mogelijkheid om op grond van het mededingingsrecht een boete op te leggen aan bestuurders en andere feitelijk leidinggevenden.

    Inwerkingtreding Tijdelijke wet transparantie turboliquidatie per 15 november 2023

    Aanleiding en inhoud TWTT

    Een turboliquidatie is de ontbinding op eigen initiatief van een rechtspersoon, waarbij – als de rechtspersoon op het tijdstip van ontbinding geen baten heeft – het tijdstip van de ontbinding samenvalt met de beëindiging van de rechtspersoon. In dat geval hoeft er dus niet te worden vereffend, want er zijn geen baten om te vereffenen. Let op: het voorgaande geldt dus ook als de rechtspersoon nog wel lasten heeft.

    Proposal for European rules on pre-pack proceedings should be supported

    On 7 December 2022, the European Commission published the Proposal for a Directive of the European Parliament and of the Council harmonising certain aspects of insolvency law. This Proposal is intended to harmonise the insolvency laws of EU member states in order to make insolvency proceedings more predictable and efficient. The Proposal also includes a number of principles the pre-pack proceedings in each member state must meet.

    Temporary Transparency of Expedited Liquidation Act

    On 15 November 2023, the Temporary Transparency of Expedited Liquidation Act enters into force, initially for a period of two years. Expedited liquidation (also known as 'turboliquidation') concerns the dissolution of a legal entity with no assets, at its own initiative. The temporary Act aims to increase transparency in the case of an expedited liquidation and to improve the protection of creditors.

    Another successful Dutch Scheme: a milestone in the complex and multi-jurisdictional Steinhoff restructuring

    In yet another major restructuring in the Netherlands, the Dutch Court confirmed a restructuring plan under the Dutch Act on Court Confirmation of a Private Restructuring Plan (WHOA). The public restructuring of the Steinhoff Group (Steinhoff) was approved by the Amsterdam Court on 21 June 2023, only seven days after the confirmation hearing.
