    The Companies (Rescue Process for Small and Micro Companies) Act 2021 was enacted in December 2021 to provide a more cost-effective restructuring process for smaller companies in Ireland (SCARP). It has a wide range of features which provide excellent opportunities to assist businesses in difficulty, in a similar format to Examinership but without the cost of the associated court hearings.

    Examiner appointed to a foreign registered, non-EU company, with its centre of main interests in Ireland

    On 30 May 2023, Mac-Interiors Limited (the “Company”), a private limited company incorporated and registered in Northern Ireland, but with its COMI in Ireland, presented a petition seeking the appointment of an examiner. On the same day, orders were made, amongst other things, appointing Kieran Wallace of Interpath Advisory as examiner on an interim basis pending the hearing of the Petition.

    Borrower's Undertaking Creates Equitable Assignment of Investment Proceeds

    The High Court (Court) had to determine whether proceeds from two investments in the estate in the bankruptcy of Bernard McNamara (McNamara) were payable to NALM under its security package, or whether they should be retained in the estate in the bankruptcy of McNamara for the benefit of creditors generally (substantive question).

    No Liquidator; No Winding Up Order for Insolvent Company

    Landmark Decision in Silverpail Examinership

    In the first case of its kind since Re Business City Limited ([1997] 2 BCLC 510) in 1997, and only the second ever such case, the High Court of England and Wales made an order on 5 April 2023 recognising and giving the force of law in England and Wales to a scheme of arrangement in an Irish examinership. The High Court of Northern Ireland made a similar order in the same case on 3 April 2023.

    Failure to Register Corporate Charges

    Irish company law provides that if a charge granted by a company is not registered in the Companies Registration Office (CRO) within 21 days of its creation, it is void against a liquidator and any creditor of the company. There is a duty imposed on a company which grants a charge to register the charge in the CRO but the creditor taking the charge can also do so.

    Diamond Rock Developments Ltd (the Company) granted a mortgage over a property. That mortgage was registered in the Land Registry but was not registered in the CRO.

    Retention of Title

    If you supply goods, the simplest step that you can take to reduce your exposure to a customer’s insolvency is to use effective retention of title (RoT).

    However not all RoT clauses are effective and we see many RoT claims rejected in insolvency.

    By default, once you sell goods on credit:

    • the goods belong to the customer; and
    • the customer owes you the purchase price.

    This means that if an insolvency practitioner (IP) is appointed to the customer:
