    Restraining notice on bank branch in New York does not restrain accounts located in Canada: court confirms viability of “separate entity rule”

    In a decision dated January 11, 2012, a New York court applied the “separate entity rule” to dismiss a judgment creditor’s special proceeding against a garnishee bank, confirming that the rule remains alive and well in New York.  Under the separate entity rule, bank branches are treated as separate legal entities for the purposes of attachment and garnishment.  Where the rule applies, a judgment creditor seeking to restrain a judgment debtor’s bank account must serve the post-judgment restraining notice upon the bank branch where the account is maintained.

    New York Bankruptcy Court Issues Ruling on Recognition of Foreign Proceedings

    Chapter 15 of the Bankruptcy Code, added in 2005, provides a route for debtors to obtain US recognition of their insolvency proceedings in other countries. A foreign proceeding can be recognized under chapter 15 as either a “foreign main proceeding” or a “foreign nonmain proceeding.” 11 U.S.C. § 1517. Recognition as a foreign main proceeding entitles a debtor to certain rights, such as the automatic stay of actions against the debtor that would normally be imposed in a bankruptcy case filed in the United States. 11 U.S.C. § 1520.

    Cross-border restructurings - Ocean Rig schemes sanctioned

    In a ground-breaking decision for the Cayman Islands as a restructuring centre, the Cayman Islands court has handed down judgment sanctioning four highly complex inter-linked schemes of arrangement.

    The schemes result in the compromise of US$3.69 billion of New York law governed debt for the Cayman Islands registered parent of the Ocean Rig group and three of its Marshall Islands incorporated subsidiaries.

    Bear Stearns redux: ruling denying chapter 15 recognition to Cayman Islands hedge funds upheld on appeal

    Mexicana files for Chapter 15 relief in New York

    On August 2, 2010, Maru E. Johansen, in her capacity as the foreign representative (the “Foreign Representative”)1 in respect of Mexican insolvency proceedings regarding Compania Mexicana de Aviacion, S.A. de C.V. (“Mexicana”), filed a petition for recognition in the United States Bankruptcy Court for the Southern District of New York (the “Bankruptcy Court”), commencing a case under Chapter 15 of the United States Bankruptcy Code.2 Mexicana and its affiliates operate Mexicana Airlines, Mexico’s largest airline.

    A scheme too far? Scheme of arrangement sanctioned for Dutch company with New York law governed obligations

    Most if not all of our readers will be aware of a recent spate of decisions in which the English courts have been prepared to sanction schemes of arrangements (SofAs) for foreign entities having a “sufficient connection” with England and Wales. The latest decisions in Re Magyar Telecom B.V. (03/12/2013) show just how flexible the English courts can be in finding such a connection.
