    Mag een subsidie door een derde overgenomen worden als de subsidieontvanger failliet gaat?

    Het komt helaas voor dat een subsidieontvanger failliet gaat. Vanuit beleidsmatig oogpunt is het vaak wenselijk dat het gesubsidieerde, nog lopende project kan worden afgerond. Vanuit juridisch oogpunt is het echter de vraag of, en zo ja onder welke voorwaarden, de subsidie kan worden overgenomen door een derde die het project wil voortzetten. Zeker als de subsidie is verleend na een zogenaamde tenderprocedure, is het de vraag in hoeverre een subsidieverleningsbesluit nog gewijzigd kan worden.

    Schemes of arrangement for the Netherlands

    A revision of Dutch insolvency law is being considered to introduce a new scheme of arrangement process. The process, based on English law schemes of arrangement, is likely to have far-reaching consequences for both Dutch insolvency and finance law.

    Consultation Dutch Implementation Act European intervention framework

    1.   Introduction

    On 21 November 2014 the draft Dutch Implementation Act for the European Framework for the Recovery and Resolution of Banks and Investment Firms (the "Implementation Act") and draft guidelines were published for public consultation purposes. The Implementation Act is designed to implement the Bank Recovery and Resolution Directive ("BRRD") and to apply the Single Resolution Mechanism ("SRM").

    Nieuwe wetgevingsinitiatieven rondom bestuurders en toezichthouders

    Met de inwerkingtreding van de Wet Claw back op 1 januari 2014 eindigde een periode waarin diverse ondernemingsrechtelijke wetten in werking traden, waaronder de Wet bestuur en toezicht en de Flex-BV wetgeving. Op dit moment bereidt de wetgever enkele nieuwe wetsontwerpen voor. In de meeste gevallen staat daarin de rol van bestuurders en toezichthouders centraal. Zo ook in het voorontwerp Wet bestuur en toezicht rechtspersonen en binnen het Wetgevingsprogramma Herijking Faillissementsrecht.

    Licensees slightly better off in bankruptcy of Dutch licensor–but not out of the woods

    The Dutch Supreme Court on 11 July 2014 handed down a decision that improves the position of licensees in case of bankruptcy of a Dutch licensor, and of other parties deriving a right of use from a Dutch counterparty that goes bankrupt.

    Dutch Supreme Court introduces features of universality principle in Dutch international insolvency law
    2013-09-24

    In a ground-breaking decision, the Dutch Supreme Court recently found that a foreign bankruptcy trustee may in principle exercise the powers conferred on him under the lex concursus (the law governing the bankruptcy) in the Netherlands as well. Such powers can include the management and disposal of assets located in the Netherlands at the time of the foreign bankruptcy order.

    Options for a speedy restructuring through bankruptcy

    Dutch insolvency practice is increasingly looking for possibilities to effectively restructure failing companies rather than liquidate them in order to safeguard creditors’ interests, and preserve jobs and economic activity. In line with international developments, pre-packs are on the rise and consultation on a bill to regulate pre-packs is currently on-going.
