    Na jarenlange onduidelijkheid heeft de Hoge Raad op 3 juni 2016 geoordeeld dat op goederen die onder eigendomsvoorbehoud zijn geleverd een geldig pandrecht kan worden gevestigd. Dit is goed nieuws voor ondernemers.

    De pandhouder met boedelvordering gaat boven de fiscus

    Heineken heeft een bedrijfspand verhuurd aan LEF met als bestemming discotheek. LEF heeft aan Heineken een (bezitloos) pandrecht verschaft op onder andere de bedrijfsinventaris. Op 13 april 2011 heeft de belastingdienst executoriaal beslag gelegd op de bedrijfsinventaris van LEF. Op 31 mei 2011 is LEF in staat van faillissement verklaard. De curator heeft de huur van het bedrijfspand laten voortduren om een doorstart van LEF mogelijk te maken.

    De Wet civielrechtelijk bestuursverbod treedt per 1 juli 2016 in werking

    Op 1 juli 2016 treedt de Wet civielrechtelijk bestuursverbod in werking. Deze wet is samen met de Wet herziening strafbaarstelling faillissementsfraude gericht op het bestrijden van faillissementsfraude. De Wet civielrechtelijk bestuursverbod zorgt ervoor dat de artikelen 106a tot en met 106e aan de Faillissementswet worden toegevoegd en tracht te voorkomen dat in een eerder stadium frauderende bestuurders hun activiteiten voortzetten door simpelweg een nieuwe vennootschap op te richten.

    Eiseres is in cassatie gegaan tegen een arrest van het hof Den Bosch van 28 juli 2015. Eiseres heeft de cassatiedagvaarding laten betekenen ten kantore van verweerder's (eerdere) advocaat. De cassatiedagvaarding is enkel aan verweerder uitgebracht.

    Dutch Supreme Court rules on position of estate claim pledgee
    2016-07-29

    In a recent judgment the Dutch Supreme Court ruled that the holder (an "Estate Claim Pledgee") of a right of pledge (an "Estate Claim Pledge") which secures one or more estate claims (each, a "Secured Estate Claim") is entitled to satisfy such claims out of the proceeds resulting from enforcement of such right of pledge ("Estate Claim Pledge Enforcement Proceeds") during the pledgor's bankruptcy provided that the claims have arisen from a legal relationship having come into existence prior to the bankruptcy.

    Dutch Supreme Court rules on validity of pledge over conditional ownership
    2016-07-29

    In a recent judgment, the Dutch Supreme Court ruled that a party who purchases and accepts the transfer of moveable assets subject to a retention of title acquires a right of conditional ownership with respect to those moveable assets and has the power to create an unconditional right of pledge over such right of conditional ownership.

    Ranking of bankruptcy trustee’s expenses not prejudiced by unlawful act
    2016-06-01

    On 5 February 2016 the Dutch Supreme Court ruled that the fact that a trustee in bankruptcy unlawfully collected pledged receivables has no consequences for the ranking of his salary. That the trustee in this case would profit from his unlawful behaviour (his salary is the highest ranking claim in a bankruptcy) is undesirable, but not enough reason to change the ranking.
