As the economic crisis continues to deepen, several of our contributors in South Europe have been focusing on matters relating to insolvency in the transport industry.
When it comes to corporate restructuring, the focus tends to remain firmly on the dollars and cents while the immigration consequences for the company’s foreign national employees are sometimes the last items considered, if considered at all. However, these immigration consequences can be quite significant and can include the loss of critical employees or lead to employer sanctions if employees are employed without valid work authorization.

Please find below our summaries of the civil decisions of the Ontario Court of Appeal for the week of August 23, 2021.
There were three substantive civil decisions this week. Vu v. Canada (Attorney General) deals with discoverability and limitation periods related to the torts of false arrest and imprisonment. In dismissing the appeal, the Court confirmed the date of an arrest is merely a presumptive date for the commencement of the limitation period – a date that can be rebutted.
When businesses are merged, acquired, or undergo other corporate restructurings, immigration-related issues are often overlooked during due diligence. Indeed, immigration issues typically come to light only after a deal has closed—or a corporate restructuring is finalized—and the consequences have materialized. To avoid any negative impacts on a business, or its employees, it is important to address certain immigration concerns during due diligence.

Companies with an international footprint will need to ensure that their tax residence (and other taxable presence) is not affected by travel restrictions imposed in response to the COVID-19 pandemic.
