    Strong procedural rights confirmed for taxpayers with solid transfer pricing documentation

    On September 19, the Dutch District Court ruled in the first ever Dutch court case on the transfer pricing implications of a large business restructuring and confirmed the legal certainty that taxpayers can derive from thorough transfer pricing documentation. The case was litigated by the Tax Dispute Resolution group of Baker McKenzie Amsterdam.

    Nu de verkoop van de inventaris meer dan een jaar voor het faillissement heeft plaatsgevonden, is het bewijsvermoeden van art. 43 Fw niet van toepassing. De stelplicht en de bewijslast ten aanzien van het paulianeus handelen rusten dan ook op de curator. De enkele omstandigheid dat het niet goed ging met de onderneming, betekent nog niet dat op dat moment te voorzien was dat een faillissement onafwendbaar was.

    Bogra is a company that is active within the funeral industry. As a result of serious financial problems, an administrator (bewindvoerder) was appointed on 28 June 2017. On the same date Bogra was declared bankrupt (30 June 2017), the employment agreements of Bogra’s employees were terminated. Funico acquired (part of) Bogra’s assets on 18 July 2017 due to an asset transaction. Effective 19 July 2017, Bogra’s activities were continued by Bogra Uitvaartkisten.

    Belastingplan 2018: geen schorsende werking meer van verzet tegen dwangbevel

    De fiscale wetgever heeft in het kader van het Belastingplan 2018 voorgesteld om artikel 17 lid 2 Invorderingswet 1990 (hierna: “IW 1990”) te laten vervallen. Indien dit voorstel daadwerkelijk wordt ingevoerd, dan zou dit betekenen dat aan het verzet tegen de tenuitvoerlegging van een dwangbevel van de Ontvanger niet langer schorsende werking toekomt. Dit kan grote gevolgen hebben voor uw onderneming.

    Interest accrued during a suspension of payments does count in bankruptcy

    On 24 November 2017, the Dutch Supreme Court ruled that in the event a suspension of payments is converted into a bankruptcy, interest that accrues after the suspension of payments was granted, but before the debtor was declared bankrupt, can be presented to the bankruptcy trustee for verification (HR 24 November 2017, ECLI:NL:HR:2017:2991).

    Can somebody else’s conduct qualify as your acknowledgement of a claim?

    The acknowledgement of a claim interrupts the five years’ prescription period for claims for payment (art. 3:318 DCC). On 21 April 2017, the Dutch Supreme Court answered the question whether the conduct of one company can qualify as the acknowledgement of a claim by another company (ECLI:NL:HR:2017:755).

    De Wet civielrechtelijk bestuursverbod voorziet kort gezegd in de mogelijkheid voor de rechtbank om in geval van faillissement een (oud-)bestuurder of feitelijk beleidsbepaler van een rechtspersoon voor maximaal vijf jaar te verbieden een bestuursfunctie of een functie als commissaris te bekleden.

    Supreme Court: liability of a company acting as a director
    2017-08-02

    In a recent judgment, the Supreme Court ruled that if a company acting in its capacity as director of another company is liable based on a wrongful act (onrechtmatige daad), Dutch law provides that the natural persons who were acting as directors of that director-company at the time the liability arose are jointly and severally liable.
