    Abuse of power by mortgage banks

    A mortgage bank has the power to foreclose and sell the collateral if the debtor is in default. However, this power does not apply in full. There is a risk of abuse of power in this respect. The circumstances, motives and actions of the parties play a major role in this. In this situation, the interests of the mortgage bank and the debtor are diametrically opposed. The mortgage bank has an interest in claiming the outstanding claim and the debtor has an interest in maintaining his immovable property.

    Verzet tegen de faillietverklaring door de curator
    2018-07-03

    In 2015 oordeelde de Hoge Raad dat een curator met succes in verzet kan komen tegen een faillissement dat op eigen aangifte van de rechtspersoon is uitgesproken. Er was in dit geval sprake van een (bijna) lege boedel en er bestond geen verwachting dat er gedurende het faillissement nog activa konden worden gegenereerd. De curator zou de afwikkelingskosten van het faillissement daardoor niet vergoed krijgen uit de boedel, maar zou deze kosten zelf moeten dragen.

    Selectieve betaling. Risico’s voor de bestuurder

    Het leven van een bestuurder van bijvoorbeeld een besloten vennootschap gaat soms niet over rozen. Als het tegen zit en uw onderneming in zwaar weer verkeert, moet je voorzichtig zijn. Een bestuurder van een besloten vennootschap kan soms in privé aansprakelijk zijn. Het doen van selectieve betalingen aan leveranciers, die voor bijvoorbeeld een doorstart relevant zijn, crediteuren die dreigen met een procedure, faillissementsaanvragen of met het stopzetten van leveringen of wanneer men zich borg heeft gesteld is riskant, alhoewel de verlokking groot is.

    Loss owing to vacancy and the bank guarantee; a sequel

    Claiming damages for the loss/harm sustained by a lessor as a result of the lessee’s insolvency (i.e. ”loss owing to vacancy” [leegstandschade]) is an issue that comes up again and again. The Dutch Supreme Court has rendered a series of rulings on this matter, the most recent of which dates from 17 February 2017. On 3 July 2018, the Court of Appeal in The Hague delivered its judgment after the case had been referred back to it.

    Een pre-packprocedure, kortweg pre-pack, mag niet meer worden gebruikt om werknemers te ontslaan of in dienst te nemen tegen andere arbeidsvoorwaarden. Zo oordeelde een kantonrechter van Rechtbank Limburg recent.

    Dutch Government's proposals for the introduction of a binding, pre-insolvency composition - the "Dutch Scheme"

    In September a draft bill was published for public consultation, pursuant to which a district court may be asked to confirm a restructuring plan between a company and its creditors and shareholders concerning the rescheduling and restructuring of debts to prevent bankruptcy. Confirmation from the district court results in the restructuring plan not only binding the creditors and shareholders involved, but also creditors and/or shareholders that have not voted in favour of the composition.

    ECJ: Transfer of Undertaking Rules Apply in Case of Pre-Packaged Bankruptcy
    2017-09-26

    The case deals with the pre-pack of Estro, at the time the largest childcare provider in the Netherlands.

    A pre-pack entails the court-appointed trustee confidentially preparing for the restart of trading by the insolvent company with the court's consent. If successful, the company is subsequently declared bankrupt and immediately restarted. Dutch law provides that transfer of undertaking rules do not apply in the case of bankruptcy.
