    Capital gains tax chargeable on unlisted shares

    Pursuant to recent amendments to the Income Tax Act 1967 (“ITA”), gains or profits from the disposal of a ‘capital asset’ on or after 1 January 2024 will be subject to capital gains tax (“CGT”).

    ‘Capital asset’ is defined to mean movable or immovable property, and includes any rights or interests thereof and includes amongst others, stock and shares, loan stock and debentures.

    The Companies (Amendment) Bill 2023 - Part 2

    The Companies (Amendment) Bill 2023 (“Bill”) was passed by the Dewan Rakyat (House of Representatives) of the Malaysian Parliament on 28 November 2023. It will be tabled before the Dewan Negara (Senate) and if passed, will be presented for Royal Assent and be gazetted into law.

    Update to Insolvency Laws: Simplifying Bankruptcy Procedures

    In our previous article, we discussed the initiatives implemented by the Government to ease the process of discharge of bankrupts.     1. はじめに

    マレーシアでは、Companies (Amendment) Act 2024(以下「本改正法」といいます。)が、一部の条項を除き 2024 年 4 月 1 日に施行されています。本改正法は、マレーシア会社法(Companies Act 2016)に規定されているリストラクチャリング・企業再建手続の強化に焦点が当てられており、スキームオブアレンジメント (Scheme  of  Arrangement)、更生管財手続(Judicial  Management)及び会社任意整理(Corporate  Voluntary Arrangement)において手続の明確化や新制度が導入されています  。今回の改正は、シンガポールにおける 2017 年・2020 年の倒産法改正や、2020 年に行われた英国倒産法改正を参考にした部分も多く 、また債務者フレンドリーな改正が多いという点では、近年の国際的な倒産法制改正の潮流にも沿うものとなります。本稿では、マレーシア法改正による企業再建手続の変更点のうち実務的に重要なポイントについてご紹介します。

    Federal Court: Leave of Winding Up Court required to commence legal proceedings against a Court Appointed Liquidator

    In the recent decision in N.Chanthiran a/l Nagappan v Kao Che Jen [2023] 5 MLRA 247, the Federal Court had the occasion to put to rest, the question of whether leave of court is required for the commencement of proceedings against a court appointed liquidator. In this regard, the Federal Court clarified that leave of court is indeed required.

    インドネシア 執筆者: ジェン・エリザベス・ドノウ、ハンス・アディプトラ・クルニアワン 1. 2023 年 KPPU 規則第 3 号及び 2023 年政令第 20 号:新しい企業結合届出規 則及び手数料 インドネシア企業競争監視委員会(Komisi Pengawas Persaingan Usaha)(以下「KPPU」という。)は、新しい企業 結合届出規則である 2023 年 KPPU 規則第 3 号(以下「2023 年規則第 3 号」という。)を公布した。2023 年規則 第 3 号は、従前の企業結合届出規則である 2019 年 KPPU 規則第 3 号(以下「2019 年規則第 3 号」という。)を廃 止し、これに取って代わるものである。以下に、2023 年規則第 3 号の主な要点を簡単に述べる。 (i) 企業結合届出要件:F2F(Foreign to Foreign)取引における地域関連基準 2023 年規則第 3 号によると、全ての取引当事者がインドネシアにおいて資産又は売上げを有する場合にの み、企業結合届出の義務が生じる。これは、取引当事者の 1 者でもインドネシアに資産又は売上げを有する 場合には企業結合届出義務が生じていた 2019年規則第3号に基づく制度と比べて注目すべき変更である。
