    COVID-19 Crisis

    COVID-19 continued to take its toll on the Malaysian economy in 2021.

    On 12 November 2021, Bank Negara Malaysia (BNM) reported that Malaysia's economy contracted 4.5% year-on-year in the third quarter of 2021. This comes after a 5.6% contraction of Malaysia's GDP in 2020, which was the second worst contraction since the Asian financial crisis in 1998.

    INTRODUCTION

    The Apex Court on May 21,2021 in Lalit Kumar Jain V. Union of India &Ors[1] recognized and upheld the Rules on Insolvency and Bankruptcy (Application to Adjudicating Authority for Insolvency Resolution Process for Personal Guarantors to Corporate Debtors) 2019, as notified by the Central Government on November 15, 2019.

    UCC Financing Statements and Debtor Name Errors: The Litigation Continues

    Article 9 of the Uniform Commercial Code, adopted in all fifty states plus the District of Columbia with relatively few variations, sets out, among other things, the rules to be followed when obtaining a security interest in personal property collateral to secure a loan. The basic premise of Article 9 is that if the lender follows the rules, it should be protected against third parties, including other creditors or a bankruptcy trustee, who would seek to challenge the lender’s security interest or the priority of the security interest.

    連載の4回目(最後)の今回は近時の会社更生の動向等を 紹介したいと思います1 。

    1 近年の会社更生の利用状況

    会社更生手続は、裁判所により選任される管財人の下、会社 の事業再建を図る手続です。旧会社更生法は1952年に制定 され、その後、1967年、2002年等の改正を経て、現在の会社更 生法に至っています

    かつては、会社更生は大会社向けの重厚な手続、民事再生 は中小企業向けの簡易時速な手続、といった切り分けのイメー ジもありましたが、負債総額1兆円を超える案件(リーマンブラ ザーズ日本法人やタカタ等)でも民事再生が活用されることがある一方、小規模会社の会社更生の申立の割合が増加してい る2 ことなどからすると、かつての会社更生=大会社、民事再生 =中小企業 というイメージは当てはまらなくなっており、事案 に適した手続選択がなされています。

     会社更生は、長年にわたって、窮境に陥った株式会社の事 業再生に活用されてきましたが、下表のとおり、この10年弱の 間、利用件数が低迷しており、特に平成25年以降は実質的な 案件数で5件以内(全国)という状況が続いています

    倒産手続における保険契約の取扱いの相違

    1.はじめに

    保険契約は、何十年間、場合によっては終身期間の契約と なっているものもあります。保険事業者(保険会社を含みます。 以下同様です。)は、契約者保護の観点から、法令により、財 務の健全性を保つことが義務付けられていますが、それでも なお、長期の契約期間中に経済が大きく変動し、経営状態の 良かった保険事業者でも倒産する可能性があります。

    1990年代から2000年代にかけて、保険会社の倒産事例が いくつか発生した後は、日本において保険事業者が倒産する ことはしばらくありませんでしたが、2020年に東京地方裁判所 で保険事業者の民事再生の事案が発生しており、今後も保険 事業者の倒産事案が発生する可能性があります。

    以下では、保険事業者が倒産した場合を中心に、倒産手続 における保険契約1 の取扱いを解説いたします。

    7th Cir. Rejects Borrower’s Attempt to Appeal Remand Order and Related Fee Award

    The U.S. Court of Appeals for the Seventh Circuit recently affirmed the dismissal of several actions by a borrower against a mortgagee, and in so ruling also held that it did not have jurisdiction to review the lower court’s remand order, and that the borrower had waived his right to challenge an award of attorney fees and costs in connection with the remand.

    Public examinations and production orders - when are liquidators required to pay compliance costs?

    Public examinations are a powerful process for a liquidator to explore the reasons for a company’s failure, identify any claims the liquidator or the company might have and assess recoverability prospects following any successful claim.

    In a similar vein, liquidators might also obtain document production orders against natural persons and corporate entities. Such document production orders are often obtained in advance of examinations, and can assist the liquidator in its investigations and preparation for the examinations.
