    The recent decision by the Hong Kong* court in Re Ando Credit Ltd [2020] HKCFI 2775 marks its first appointment of provisional liquidators[1] over a Hong Kong company with the express purpose of allowing the liquidators to seek recognition in China Mainland.

    Bargain M&A deals in COVID19 - a guide for CHINESE odi investors

    火:破产执业者对债权人欺诈性交易的重大权力

    破产执业者(不论是清算人或管理人)可以向法院申请撤销在公司进入破产程序前进行的特定交易。通过这种方式,可以收回资产或资金,统一向债权人偿付。下列情形属于“先前的”或“可审查”的交易:

    1. 公司的资产或财产被低价出售;
    2. 公司在进入破产程序前给予某债权人优先权,使其处于比其他债权人更有利的地位;
    3. 公司订立了敲诈性信贷交易(交易条款有严重的敲诈性);
    4. 公司设立了无效浮动抵押,即为已发放的贷款或已提供的货物及服务的成本提供担保;
    5. 公司订立的交易具有欺诈债权人的明确目的,即:使公司的资产脱离破产执业者和债权人的控制范围。

    不同类型的可审查交易有不同的时间要求。例如,低价出售必须发生在公司进入破产程序前的两年内。

    一、企业初探:破产重整的机遇与挑战

    1、SX公司基本情况

    SX公司成立于1981年,于1994年在深交所上市,总股本约35000万股,其中流通股18000万股,限售流通股17000万股。

    SX公司控股或参股四家实业公司,分别为科技公司、实业公司、饲料公司和西部公司。

    2、SX公司重整受理情况

    因不能清偿到期债务,经债权人饲料公司申请,深圳市中级人民法院(下称深圳中院)于2009年11月10日裁定SX公司进入重整程序,并指定北京市金杜(深圳)律师事务所担任管理人。

    Contracting after 1 July 2018? Counterparties beware.

    A paradigm shift is underway in Australian corporate restructuring.

    Bold reforms are already in force which have changed the landscape for companies, their directors, creditors and other stakeholders.

    From 1 July 2018, termination and other rights against companies in administration and other restructuring-related procedures will be unenforceable under the ipso facto reform.

    Regulations are expected to have significant effect on the scope of the stay – these regulations are yet to be published.

    Changes in Italian security law

    Proposed changes in Italian law mean that it should become easier to create certain types of security in Italy and to recover debt. The relevant law is Decree-law no. 59/2016 (“Urgent provisions on insolvency and executive procedures’’) which came into force on 4 May 2016 and which should be converted into binding law by early July.

    Employer successfully defends landmark redundancy bid
    2014-07-08

    When the employer underwent a restructure, the employee’s reporting line changed, as well as his membership of a particular leadership team. His role was not abolished. For two months after the restructure, the employee continued to work in the same role, under the same contract, until he tendered his written resignation. He subsequently filed a dispute under the terms of the applicable Enterprise Agreement, seeking orders that he should have been retrenched by the employer.

    Rodenstock - English law sufficient nexus for scheme of arrangement

    In recent years, several foreign companies have used the English law scheme of arrangement as a flexible restructuring method to compromise creditor claims.  The decision of the High Court in the latest of these cases, that of the German company Rodenstock GmbH, clarifies that an English court will accept jurisdiction where the only connection to England is that the company’s finance documents were governed by English law.

    “无税不破”——企业破产程序中应重点关注的税务问题及应对之策

    近期,北京市税务局发布了《关于进一步推进破产便利化 优化营商环境的公告》(2020年第4号,下称“4号公告”)、上海市高级人民法院与上海市税务局印发《关于优化企业破产程序中涉税事项办理的实施意见》(沪高法〔2020〕222号,下称“222号文”),旨在明确破产程序中的涉税事项,充分发挥破产制度在规范市场主体退出方面的重要作用。

    破产是解决企业产业深层次矛盾,优化资源配置,提升企业产业质效的重要法治途径。破产程序中涉税事项的处理是重要一环,妥善处理破产事宜无法忽视涉税问题。实践中,我们作为税务律师也经常能接到破产程序中涉税事项的咨询,部分案件中涉税事项甚至成为左右破产程序能否顺利推进的重要因素,其中不乏争议的问题,部分问题可以从两份文件中找到答案或启示,我们在此结合两份文件的亮点与重点,对于破产程序中的涉税相关事项做简要梳理,并探讨合理应对之策。
