    Valor que se ha de restituir al concurso por hipotecas rescindidas, pero ejecutadas

    Se hipotecaron fincas en garantía de una refinanciación bancaria, la deudora es declarada en quiebra y se fija como fecha de retroacción una anterior a la de constitución de la hipoteca. El valor de tasación es aproximadamente de 1 700 000 euros; el banco instó la ejecución de las hipotecas. Durante la tramitación de la ejecución, el banco cedió su crédito hipotecario a un tercero por un precio de 767 127,82 euros. El tercero se subrogó en la posición del banco como ejecutante.

    Avoidance of pre-insolvency overcollateralisation?

    Our legislation prohibits (as unconscionable) clauses that, while not negotiated with consumers, require “collateral disproportionate to the risk assumed” (art. 88(1) of the Spanish Consumer and User Protection Act). Note that this rule has not been the subject of any case law development and that the clause that paradoxically could yield to art.

    1. The sale of productive units of a company subject to insolvency proceedings has become common practice in the Commercial Courts, especially those of Catalonia, which have the express support of the Directorate General for Industry of the Regional Government of Catalonia.

    This procedural solution allows companies to continue as a going concern, ensuring the maintenance of jobs and avoiding the destruction of the business landscape.

    Un crédito hipotecario no comunicado sigue siendo un crédito con privilegio especial

    Interesante Resolución de la Dirección General de los Registros y del Notariado de 5 junio 2019. En el origen, se trata de la inscripción de una venta directa de bien hipotecado, hecha en liquidación concursal, por un valor inferior al de tasación, pero sin contar con el consentimiento del acreedor hipotecario, como impone el artículo 155.4 de la Ley Concursal (LCon). Según la administración concursal, este consentimiento no es preciso, pues en virtud del artículo 97 ha desaparecido el crédito hipotecario por no estar incluido en la lista ni haber sido ésta objeto de impugnación.
