Both the German federal government and various German federal states are pushing ahead with packages of measures to mitigate the as-yet-unforeseeable economic consequences of the COVID-19 pandemic.

Overview

In order to mitigate the economic consequences of the COVID-19 pandemic, the legislator passed the COVID-19 Insolvency Suspension Act (COVInsAG; the “Act”), which came into force on 27 March with retroactive effect from 1 March 2020.

As Covid-19 continues to spread across the world, the likelihood of your organisation being directly impacted by the outbreak (e. g an infected customer, employee etc.) also increases. Each organisation should insure that it has in place a robust organisational resilience plan which addresses all relevant issues.

Temporary suspension of obligation to file for insolvency and of creditor’s right to request opening of insolvency proceedings

On 25 March 2020 the German parliament passed a bill “to mitigate the consequences of the COVID-19 pandemic in civil, bankruptcy and criminal procedure law” (COVID-19 Bill) that aims at protecting companies that experience financial difficulties as a result of the COVID-19 pandemic.

Überblick: Eilrechtsschutz mittels Arrest und einstweiliger Verfügung

Many businesses, particularly those operating internationally, have set up group cash pooling systems to optimise payment processes and maximise liquidity. A well-structured cash pooling system offers a treasury department transparency over the group's liquidity and by centralising financing requirements can reduce costs.

The German government has moved quickly and decisively to protect businesses from the short-term impact of the Covid-19 pandemic. A new law was passed by parliament using remote voting procedures and comes into today, 27 March 2020. The Covid-19 Suspension of Insolvency Law (COVInsAG) provides a protective shield for businesses against the economic fallout caused by the extraordinary measures taken to limit the spread of the SARS- CoV 2 virus which causes the illness we now know as Covid-19.

The law addresses three main areas:

Das Maßnahmengesetz hat neben Änderungen insbesondere im Insolvenzrecht vorrübergehend auch substantielle Erleichterungen für die Durchführung von Hauptversammlungen geschaffen.

Mit dem Artikelgesetz zur Abmilderung der Folgen der COVID-19-Pandemie im Zivil-, Insolvenz- und Strafverfahrensrecht und dem darin enthaltenen COVID-19-Insolvenzaussetzungsgesetz (COVInsAG) vom 27. März 2020 wurde die Pflicht zur Stellung eines Insolvenzantrags (§ 15a InsO) in den sogleich näher beschriebenen Fällen (siehe Ziff. 1) vorübergehend suspendiert und damit zugleich eine mögliche Strafbarkeit wegen des Vorwurfs der Insolvenzverschleppung (siehe Ziff. 2).

Seit dem 1. März 2020 ausgereichte Darlehen unterliegen dank neuer Gesetzgebung Privilegierungen im Hinblick auf insolvenzrechtliche Anfechtungs- und Haftungstatbestände.

Am 27. März 2020 wurde das Gesetz zur vorübergehenden Aussetzung der Insolvenzantragspflicht und zur Begrenzung der Organhaftung bei einer durch die COVID-19-Pandemie bedingten Insolvenz (COVID-19-Insolvenzaussetzungsgesetz – COVInsAG) verkündet. Dieses trat rückwirkend zum 1. März 2020 in Kraft.

The Covid-19 crisis is impacting on all businesses across Germany including the dynamic German start-up scene. In this article we outline some of the more important measures taken by the German government to support start-ups through the crisis. These measures include providing immediate financial support, loan finance, subsidies for short-time work schemes, relaxation of management obligations to file for insolvency, tax relief schemes and the suspension of social security payment obligations.
