    Germany: COVID-19 and its impact on ongoing contractual obligations

    As part of the package of measures to mitigate the effects of the corona crisis, the German Bundestag has fast-tracked an act to mitigate the consequences of the COVID-19 pandemic in civil law, insolvency law, and the law on criminal procedure, adopting it into law on 25 March 2020. 

    The act contains a civil law moratorium that benefits parties who owe certain forms of contractual performance where the COVID-19 pandemic has forced them into the position that they cannot meet their contractual obligations.

    On 27 March 2020, the law for the Mitigation of the Consequences of the COVID-19 Pandemic in Civil, Insolvency and Criminal Proceedings Law was announced in the Federal Law Gazette (BGBl. I 2020, page 569). Among other things, the retroaction under commercial law in case of restructuring measures for the year 2020 was extended from eight to twelve months, although adaptations in the Reorganisation Tax Act (UmwStG) were not made in this context. This may result in complications.

    Germany protects businesses against insolvency during pandemic

    The German government has moved quickly and decisively to protect businesses from the short-term impact of the Covid-19 pandemic. A new law was passed by parliament using remote voting procedures and comes into today, 27 March 2020. The Covid-19 Suspension of Insolvency Law (COVInsAG) provides a protective shield for businesses against the economic fallout caused by the extraordinary measures taken to limit the spread of the SARS- CoV 2 virus which causes the illness we now know as Covid-19.

    Mit dem Artikelgesetz zur Abmilderung der Folgen der COVID-19-Pandemie im Zivil-, Insolvenz- und Strafverfahrensrecht und dem darin enthaltenen COVID-19-Insolvenzaussetzungsgesetz (COVInsAG) vom 27. März 2020 wurde die Pflicht zur Stellung eines Insolvenzantrags (§ 15a InsO) in den sogleich näher beschriebenen Fällen (siehe Ziff. 1) vorübergehend suspendiert und damit zugleich eine mögliche Strafbarkeit wegen des Vorwurfs der Insolvenzverschleppung (siehe Ziff. 2).

    Seit dem 1. März 2020 ausgereichte Darlehen unterliegen dank neuer Gesetzgebung Privilegierungen im Hinblick auf insolvenzrechtliche Anfechtungs- und Haftungstatbestände.

    Am 27. März 2020 wurde das Gesetz zur vorübergehenden Aussetzung der Insolvenzantragspflicht und zur Begrenzung der Organhaftung bei einer durch die COVID-19-Pandemie bedingten Insolvenz (COVID-19-Insolvenzaussetzungsgesetz – COVInsAG) verkündet. Dieses trat rückwirkend zum 1. März 2020 in Kraft.

    Support for start-up companies in the Covid-19 crisis

    The Covid-19 crisis is impacting on all businesses across Germany including the dynamic German start-up scene. In this article we outline some of the more important measures taken by the German government to support start-ups through the crisis. These measures include providing immediate financial support, loan finance, subsidies for short-time work schemes, relaxation of management obligations to file for insolvency, tax relief schemes and the suspension of social security payment obligations.
