    Relationship between privileged and secured creditors

    On February 22 2018 the Supreme Court delivered an important judgment regarding the relationship between:

    • privileged creditors in the framework of reorganisation proceedings; and
    • secured creditors in the event of a subsequent bankruptcy.

    Exelco’s US Chapter 11 Case Dismissed in Favor of Belgian Proceeding
    2018-01-13

    The Delaware Bankruptcy Court recently dismissed a Chapter 11 bankruptcy case pending before it and recognized, under Chapter 15 of the Bankruptcy Code, the debtor’s bankruptcy proceeding in Belgium. Exelco NV (“Exelco”), a Belgian diamond distributor, owed KBC Bank NV (“KBC”) approximately US$14 million. KBC’s debt was secured by a pledge on essentially all of Exelco’s assets. Exelco’s debt was also guaranteed by an affiliated company and certain individuals. When Exelco defaulted on its debt obligations, KBC commenced a sort of involuntary insolvency proceeding in Belgium.

    Attempt to implement pre-pack procedures in Belgium fails
    2017-10-18

    An attempt to reform and rationalize the Belgian Bankruptcy Act of 8 August 1997 and the Continuity of Enterprises Act of 31 January 2009 included the introduction of a "silent bankruptcy" that offered distressed companies the opportunity to prepare for a real bankruptcy discreetly and without any publicity, along the lines of the UK's pre-pack procedures.

    While the bill was adopted in mid-July 2017 and will apply to insolvency proceedings opened on or after 1 May 2018, the attempt to include pre-pack procedures in the reform has failed.

    Faster recovery of undisputed social security debts with writ of execution
    2017-01-26

    Since 1 January 2017, the law explicitly provides for a general option for the National Social Security Office (“NSSO”) to recover undisputed debts by means of a writ of execution. 

    This means that the NSSO can provide itself an enforceable title (a writ of execution) without having to rely on the labor court. 

    The recovery through a writ of execution can be used for all contributions, penalties, interests and other amounts that would be due to the NSSO. It is, however, important that it concerns debts: 

    (i) that are not fundamentally disputed;

    Banking & Insolvency Headlines - New rules for the filing of claims in bankruptcy proceedings in Belgium

    As from 1 April 2017, the rules for the filing of a statement of a claim in bankruptcy proceedings will change. As a general rule, a statement of claim can only be filed electronically in the Central Solvency Register (“Registre Central de Solvabilité”/Centraal Register Solvabiliteit”) or “RegSol”.

    Judicial reorganization – accounting review – annexes to the petition

    Principle

    In order to secure the protection of judicial reorganization, the debtor needs to attach to the petition for judicial reorganization a certain number of documents provided for in article 17 § 2 of the Law on the continuity of enterprises (LCE). If these documents are not attached to the petition, the LCE provides that the petition shall be deemed inadmissible.

    Snellere inning van onbetwiste RSZ-schulden met het dwangbevel

    Sedert 1 januari 2017 voorziet de wet uitdrukkelijk in een algemene mogelijkheid voor de Rijksdienst voor Sociale Zekerheid (“RSZ”) om onbetwiste geldschulden in te vorderen door middel van een dwangbevel.

    Dit houdt in dat de RSZ zichzelf een uitvoerbare titel (een dwangbevel) kan verschaffen, zonder een omweg te maken via de arbeidsrechtbank. 

    De invordering via dwangbevel is mogelijk voor alle bijdragen, bijdrageopslagen, verwijlintresten en andere vergoedingen die aan de RSZ verschuldigd zouden zijn. Belangrijk is weliswaar dat het dient te gaan om schulden:
