    The existence of a legal entity can be compared with human life, i.e. establishment (birth), activities (human life) and liquidation (death). However, in each of the comparable phenomena above, from the point of view of law, there are significant differences. In the framework of this article, we focus on the consideration of the legal ‘death’ (liquidation) of legal entities, and study this issue in relation to certain types of corporations (business entities).

    The sale of assets by a receiver: a cautionary tale

    The case of Canrock Ventures LLC v. Ambercore Software Inc. et al is a cautionary tale for a Receiver and its counsel alike. In this case, the Ontario Superior Court of Justice rejected a Receiver’s application for the approval of an asset purchase agreement because of a failure to take the requisite steps when conducting a sale process and, in the Court’s view, failing to remain a neutral officer of the Court.

    On July 27, 2009, Arclin Canada Ltd. and related Canadian entities filed under the CCAA in Ontario and related U.S. entities filed under Chapter 11 of the U.S. Bankruptcy Code in Delaware. Arclin announced that it had reached agreement with certain of its key senior lenders to reduce its debt from US $234 million to US $60 million and that it would receive a US $25 million debtor in possession (DIP) financing facility.

    Allarco Entertainment owns Super Channel, an Edmonton-based TV network. According to Court documents, Super Channel has approximately 222,000 subscribers. Super Channel broadcasts feature films, original series, specials and mini-series in high definition.

    前言

    根据《公司法》第186条第2款的规定,公司在分别支付清算费用、职工的工资、社会保险费用和法定补偿金,缴纳所欠税款,清偿公司债务后的剩余财产(“清算后的剩余财产”),有限责任公司按照股东的出资比例分配,股份有限公司按照股东持有的股份比例分配;但是根据PE/VC投融资实践中惯常的投资人优先清算权条款,对于该等清算后的剩余财产,股东之间通常会约定不按照持股比例分配,而是由投资人先于原股东取得其优先清偿额部分(Liquidation Preference Amount),然后如还有剩余的,各股东再按持股比例分配(Participation Right)。

    那么该等投资人优先清算权条款是否违反了《公司法》第186条的规定呢?对于这个问题,由于相关的司法判例尚属罕见,所以法律实务工作者对于这个问题的回答往往都会附带一些“限定性语言”。

    New deed tax policies favor certain enterprises in corporate reorganization and restructuring

    On December 29, 2008, the State Administration for Taxation (SAT) and the Ministry of Finance (MOF) jointly promulgated the Circular on Several Deed Tax Policies Concerning Enterprise Reorganization and Restructuring, (Cai Shui (2008) 175, Circular 175). Circular 175 took effect on January 1, 2009, and will be effective through December 31, 2011.

    Legal reform proposals over appointment of receivers

    In 2016 members of Parliament (MPs) proposed legal reforms with the aim of regulating the procedure for the appointment of receivers by debenture holders. Although debate on the issue stopped for a period, it recently re-emerged in vigorous form following the sale of hotel units by receivers who had been appointed by financial institutions pursuant to a floating charge.
