    1.産業競争力強化法等の改正

    2021年8月2日、「産業競争力強化法等の一部を改正する 等の法律」の一部が施行されました。

    改正内容は多岐にわたりますが、本稿では、中小企業再生 支援協議会(以下「協議会」といいます。)による事業再生支 援の機能強化について、取り上げたいと思います。

    3rd Circuit Holds Post-Confirmation, Pre-Effective Date “Claims” Dischargeable in Bankruptcy

    On Aug 30, 2021, the 3rd U.S. Circuit Court of Appeals became the first federal appellate court to confirm that claims arising against a debtor following confirmation of a Chapter 11 plan, but prior to the plan’s effective date, are subject to discharge. This ruling serves as a strong reminder for all creditors and counterparties of a bankrupt entity to stay vigilant through the “effective date” of a Chapter 11 plan, and to strictly adhere to any administrative claims bar date established in a bankruptcy case.

    What directors need to think about as Government protections to prevent insolvency wind down

    At the end of September, Government protections that were designed to prevent a flood of insolvencies are set to be lifted. Specifically, the suspension of the provisions around wrongful trading will be over and creditors can once again seek to put companies who owe them money into liquidation.

    Arrium court finds significant non-current liabilities not sufficient to prove insolvency

    Restrictions on winding-up lifted from 1 October 2021 - but what are the new conditions which creditors must satisfy?

    The UK Government has announced that the temporary measures which were put in place to protect businesses from insolvency during the pandemic are to be lifted and from 1 October 2021. This means that creditors will be able to seek to wind up debtors who owe them money. But, the devil is in the detail. Creditors do not have carte blanche and new conditions apply. In order to continue to promote business rescue, these conditions will remain in place from 1 October 2021 to 31 March 2022.

    Appellate Court Holds FCC Penalty Claim Survives Chapter 11 Corporate Debtor’s Discharge

    A Chapter 11 corporate debtor’s monetary penalty obligation owed to the Federal Communications Commission (“FCC”), resulting from “fraud on consumers,” survived the debtor’s reorganization plan discharge, even when the FCC “was not a victim of the fraud,” held the U.S. District Court for the Southern District of New York on Sept. 2, 2021. In re Fusion Connect Inc., 2021 WL 3932346, *1 (S.D.N.Y. Sept. 2, 2021).

    1 はじめに

    産業競争力強化法等の一部を改正する法案が2021年6月9 日に可決成立し、同月16日に公布され一部は公布日に、その 他の部分についても8月2日付で施行されました。

    バーチャルオンリー株主総会をはじめとして、多岐にわたる 今回の産業競争力強化法等の改正ですが、本稿では、事業 再生と債権管理に影響のありうる改正点(「債権譲渡の第三 者対抗要件の特例」及び「事業再生の円滑化のための事業 再生ADRに関連する改正」)にフォーカスして説明いたします。 なお、本稿では、ことわりのない限り、改正後の産業競争力強 化法を「法」と略しています。

    2 債権譲渡の第三者対抗要件の特例

    これまで債権譲渡の第三者対抗要件の具備には、①公証 役場での確定日付の取得や内容証明郵便(民法467条、民 法施行法5条1項2号及び6号)、あるいは②債権譲渡特例法 に基づく債権譲渡登記(債権譲渡特例法4条1項、14条1項) のいずれかの方法による必要があり、実務的には①のうちの 内容証明郵便(電子内容証明を含む)の方法が多く用いられ ています。

    相殺の担保的機能にはどこまで期待していいのか ~破産法72条2項2号の初の適用例を示した近時の最高裁判決を題材に~

    第1 はじめに

    破産法では、破産債権についての債権者間の公平・平等な 扱いを基本原則とする破産手続の趣旨が没却されることのな いように一定の場合に相殺を禁止する一方で、相殺の担保的 機能に対する合理的な期待が認められる場合にはかかる相 殺禁止を解除することとしています。破産法72条2項2号はこう した相殺の担保的機能に対する合理的な期待を保護するた めの規定の一つであるところ、同規定に関して債権者の相殺 権を制限する旨の判示をした高裁判決(福岡高裁平成30年9 月21日判決(金法2117号62頁)。以下「平成30年福岡高判」と いいます。)を事業再生・債権管理Newsletter2019年8月号 にてご紹介しましたが、近時、平成30年福岡高判を破棄自判 し、「真逆の」結論を示した最高裁判決(最高裁令和2年9月8 日第三小法廷判決(民集74巻6号1643頁)。以下「令和2年最 判」といいます。)が出されました。そこで本稿では、債権者の 相殺権保護の範囲の拡張を示唆する令和2年最判を紹介し た上で(後記第2ないし第4)、令和2年最判が破産債権者に よる相殺権の行使の可否ないし限界の議論に及ぼす影響に ついての若干の考察(後記第5)を行います
