    Sanction for scheme of arrangement refused by Hong Kong court: Key takeaways

    Notwithstanding that the requisite statutory majority was obtained in the relevant creditors’ scheme meeting, the Hong Kong Companies Court refused to sanction a scheme of arrangement propounded by a company that professed to be insolvent in a recent judgment [2024] HKCFI 2216.

    The A&O Shearman team, together with counsel Michael Lok and Jasmine Cheung, acted for the opposing creditor in these Scheme proceedings.

    昨今、ケイマン諸島の判決で、債権者との間のスキーム・オブ・アレンジメントを取り扱ったRe In the Matter of E-House (China) Enterprise Holdings Limited [1]において、セガル裁判官が米国、英国、ヨーロッパにおける制裁措置がスキーム・オブ・アレンジメントにどのような潜在的な法的影響をもたらすか、また、当該スキームが国際的にどのような法的効果を有するのかを明確にする判断を示しました。

    現在のマクロ経済環境およびグローバル市場の激動状況に照らせば、誠実な企業再建実施後も継続した企業の事業活動が可能となるような方策を模索することにつき、柔軟で積極的な役割を果たす意思が裁判所にあることを確認したものです。

    根据香港公司清盘法律规定,公司任何一位债权人、股东或公司本身均可通过向高等法院提交清盘呈请书发起针对该公司的强制清盘。就该案而言,数月前港股公司的一债权人入禀香港高等法院,对港股公司提起清盘呈请(“呈请”)。该清盘呈请提出后,历经多次聆讯及延期申请,香港高等法院最终针对港股公司颁布了清盘令。

    债权人对清盘债务人的行动

    一旦公司进入强制清盘程序,根据香港公司清盘法律规定,所有针对该公司的诉讼程序均会自动中止。该规定目的在于确保清盘程序的有序进行,公司资产不会被用于提起或辩护任何法律程序,以保护公司财产和债权人利益。

    Hong Kong is a common law jurisdiction, and its legal system is based on English law. Following Hong Kong’s handover to China on 1 July 1997, the Basic Law of Hong Kong is the constitutional document of the Hong Kong Special Administrative Region. Article 8 of the Basic Law provides that: “laws previously in force in Hong Kong, that is, the common law, rules of equity, ordinances, subordinate legislation and customary law shall be maintained, except for any that contravene [the Basic Law], and subject to any amendment by the legislature of the Hong Kong Special Administrative Region.”
