    BFH verwirft Sanierungserlass des BMF - Veränderungen bei der Besteuerung von Sanierungsgewinnen

    Mit seinem Beschluss vom 28. November 2016 (veröffentlicht am 8. Februar 2017) hat der Große Senat des Bundesfinanzhofs („BFH“) den sogenannten „Sanierungserlass“ (BStBl. I 2003, 240; ergänzt durch BStBl. I 2010, 18) des Bundesfinanzministeriums („BMF“) verworfen. Dieser hatte bislang eine Steuerbefreiung von Sanierungsgewinnen über den Weg eines Billigkeitserlasses der Steuerzahlung nach §§ 163, 227 Abgabenordnung („AO“) ermöglicht.

    Scheme of arrangement - “floating” choice of English law provision
    2022-05-25

    German gaming group Löwen Play obtained sanction for a scheme of arrangement following a hearing in the High Court on 5 May 2022. Mr Justice Johnson granted an order sanctioning the scheme following its approval by a significant majority of creditors at the single scheme meeting. The group operates a gaming arcade business in Germany and the Netherlands, and the relevant scheme company was incorporated in Germany.

    Suspension of the obligation to file for insolvency for companies affected by the flood disaster - a toothless tiger
    2021-09-16

    With the Act on the Temporary Suspension of the Insolvency Filing Obligation Due to Heavy Rainfall and Floods in July 2021 (Gesetz zur vorübergehenden Aussetzung der Insolvenzantragspflicht wegen Starkregenfällen und Hochwassern im Juli 2021), which is part of the Reconstruction Assistance Act 2021 (Aufbauhilfegesetzes 2021), the German Federal Parliament and the German Federal Council have decided to suspend the obligation to file for insolvency retroactively as of 10 July 2021.

    German insolvency law – an overview

    German insolvency law is governed by a comprehensive Insolvency Code which entered into force on January 1, 1999 and has been amended from time to time, the last major reform being the Act for the Further Facilitation of the Restructuring of Companies (ESUG) which largely came into force as of 1 March 2012. Further modifications were implemented in a second reform which came into force on 1 July 2014.There is only one primary uniform insolvency procedure which applies to both individuals and companies.     New Court Ruling on the Scope of D&O Insurance Coverage Calls Directors and Officers to Action

    On 20 July 2018, the Higher Regional Court of Düsseldorf ruled that standard D&O insurances do not cover restitution claims for payments which managing directors of a limited liability company make after the company becomes insolvent. Whereas it is possible to obtain coverage for restitution claims, many older policies do not provide for this. Directors are well advised to check the scope of their insurance coverage.

    Germany: Claw-back reform improves the position of suppliers and service providers in German insolvency proceedings
    2017-07-05

    1. Background of the claw-back reform

    German insolvency law allows claw-back for actions made by the debtor during a period of up to 10 years prior to insolvency proceedings. Until the new rules entered into effect in April 2017, this long look-back period also applied to so-called coverage transactions, meaning payments to which the creditor was entitled under contract or law. The insolvency administrator only needed to prove that when making the payment the debtor willfully disadvantaged its other creditors, and the recipient of the payment was aware of this.
