10 Tips for Buying a Company in Administration in the UK
    2021-09-16

Once a company is facing Administration (the most common insolvency process for a trading business – although see tip 2 below), the Administrators may look to sell the business and assets. This could be a pre-pack sale, or a regular administration sale and it may only be advertised to a select group of potential buyers or more widely in the market.

    The Case for Early-Stage Compliance
    2021-09-01

The year is 2012, and the biotech you founded has just received FDA approval for a wildly promising product with significant differentiation from other products in its class. You only have 35 employees, but begin to build a lean, incentive-based salesforce to launch your novel commercialization strategy built on a specialty distribution model, high-touch reimbursement support, aggressive marketing tactics, and premium pricing. Hiring a compliance officer is not a priority at this time.

Court of Appeal summaries (August 23-27, 2021)
    2021-08-27

    Good afternoon.

Please find below our summaries of the civil decisions of the Ontario Court of Appeal for the week of August 23, 2021.

There were three substantive civil decisions this week. Vu v. Canada (Attorney General) deals with discoverability and limitation periods related to the torts of false arrest and imprisonment. In dismissing the appeal, the Court confirmed the date of an arrest is merely a presumptive date for the commencement of the limitation period – a date that can be rebutted.

    Bankruptcy searches should be international
    2021-08-24

To mitigate the risk of claims being made against them, personal representatives, solicitors and executors involved in distributing estates should commission bankruptcy and insolvency searches abroad as well as in the UK. However, there are also other areas of law where due diligence might include overseas searches. Commercial, planning and conveyancing lawyers should all consider international searches.

Business Bankruptcy: Executive Summary - Need to Know Bankruptcy Concepts
    2021-08-12

According to the American Bankruptcy Institute, total commercial Chapter 11 filings in July 2021 decreased 62 percent from the previous year. Commercial Chapter 11 filings totaled 244 in July 2021, down from the July 2020 total of 644. Lender forbearance, continued low interest rates, and massive financial intervention by the U.S. and economies world-wide have allowed financially distressed companies to survive during the pandemic. As relief programs recede, however, we will likely see an increase in Chapter 11 filings.
