    Notre contribution précédente comprenait les propos introductifs portant sur la réforme du droit de l’insolvabilité, entrée en vigueur ce 1er septembre 2023. Comme indiqué, la présente contribution porte sur un élément clé de cette réforme.

    La révision du paysage de l’insolvabilité n’a pas épargné le concept du transfert d’entreprise, qui en constitue l’un des piliers.

    Le transfert de l'entreprise peut intervenir à deux stades : dans le cadre d’une procédure de réorganisation judiciaire publique, mais également dans le cadre d’une préparation silencieuse à la faillite.

    Le droit de l’insolvabilité réformé dès le 1er septembre 2023

    Le 20 juin 2019, le Parlement Européen a adopté une nouvelle directive qui harmonise pour la première fois le droit de l’insolvabilité au niveau européen.

    L’attente fut longue avant que le processus de transposition en droit belge n’aboutisse enfin par l’adoption d’un projet de loi en mai 2023, et par la publication de la loi le 7 juin 2023.

    La loi, dont le maître mot sera l’efficacité, entrera en vigueur le 1er septembre 2023.

    Reviving the Corporate Rescue Bill in Hong Kong

    Against the backdrop of Hong Kong's emergence from the pandemic and the government's efforts to entice tourists and investors back, there arises a question as to whether the government might consider reviving the corporate rescue bill. Implementing a framework for debt restructuring and negotiations with creditors would help prevent liquidations, which often result in additional job losses and contribute to further economic decline.

    The new Belgian restructuring plan for large enterprises: debt-to-equity swap
    2023-07-20

    The long anticipated law of 7 June 2023 implementing the European Directive on restructuring and insolvency brings about a major reform of Belgian insolvency law. Among various other innovations, it introduces a new judicial reorganisation through collective agreement for large enterprises.

    The new law will apply to all procedures opened as from 1 September 2023.

    In this second of two client alerts, we will examine to which extent creditors can seek to impose a debt-to-equity swap on shareholders within the new judicial reorganisation for large enterprises.

    试论金融债委会成员一致行动原则

    近年来,金融机构债权人委员会(以下称“金融债委会”)越来越多地参与到大型、知名企业的金融债务重组案例中。实践中,多数金融债委会都会以协议或决定的方式确立 “一致行动原则”。这一原则对金融机构债权人的影响如何?金融机构债权人又当如何应对?本文中,笔者将对这一原则进行解读和分析,并基于笔者的执业经验提出相应建议。

    一、金融债委会确立“一致行动原则”的动机

    根据银保监会等四部门联合发布的《关于印发金融机构债权人委员会工作规程的通知》(银保监发〔2020〕57号,以下简称《工作规程》),金融债委会系庭外金融债务重组过程中设立的协商性、自律性、临时性组织,其成员主要为金融机构。与破产阶段的债权人委员会的职权由《企业破产法》直接作出规定不同,金融债委会的组织架构、议事规则和工作流程,以及各成员机构权利义务、成员机构退出机制、解散程序等事项均约定于当事人自愿签署的债权人协议中。

    设立金融债委会的目的是为金融机构债权人搭建集体协商、共同决策、一致行动的工作平台,避免在企业债务危机爆发后个别金融机构单独“出逃”引起“踩踏”,为企业债务危机的化解争取时间和空间。因此,金融债委会成员有动力明确并遵守“一致行动原则”。

    Cayman Court clarifies sanctions' impact on schemes of arrangement

    In the recent Cayman Islands case of Re In the Matter of E-House (China) Enterprise Holdings Limited[1], dealing with creditors' schemes of arrangement, Justice Segal gave a helpful decision that provided judicial clarity on, among other matters, the potential impact of the recent sanctions regimes in the US, UK and Europe on the scheme, and the international effectiveness of the scheme.

    房地产行业高速发展10余年,在“房住不炒”的宏观背景以及2020年8月“三道红线”政策后,因房地产行业的发展模式及市场发展规律、政策执行力度、国家宏观调控等多方面的原因,房地产市场从2021年9月开始经历行业“缩表”的阵痛,不少大型房地产企业先后出现债务风险,面临诸多的困难处境,继而影响资金方、施工方、材料设备供应方及购房业主等多方主体。房地产市场影响国民经济及民生多个方面,在行业困境下,政府亦在监管、维稳、施救等多方面遇到难题。表面上看,各方主体皆可按政策与法律处理,但实操中,商业诉求与法律的平衡,经济效果与社会效果、法律效果的协调,社会资源的调度与节约,仍需探索最佳路径。

    本文仅就困境项目的成因、市场常见盘活方案等问题,从法律角度予以整理,请勿以此作为法律意见在实践中套用。

    单纯的法律手段难以解决问题的情形下,笔者认为:房地产困境的解决,最终需要落实到具体的房地产项目庭外重组与盘活。开展全行业性的政策拯救或对大型地产公司进行全面的庭外重组盘活,需假以时日并多方共同努力。因此,结合近一年多的地产项目重组盘活经验,笔者希望从政府管理、商业诉求、法律实践等方面,为各方在房地产项目困境中破局提供些建议,达到解决具体房地产项目的实际问题,使项目价值最大化,最大程度实现各方利益诉求,从一定程度上缓解目前房地产困境。
