    New rules on directors’ liability in Germany

    The German Federal Court of Justice has tightened its grip on company directors again. In a recent judgment on directors’ liability in insolvency situations, the Court clarified the scope of sections 60- 61 of the German Insolvency Act.

    New Insurance Risks for Directors & Officers in Germany

    The Situation: Claims brought by insolvency administrators under Section 64 of the German Limited Liability Companies Act are not only among the most common, but also the most financially significant, claims faced by the directors of distressed German companies.

    The Development: In a landmark decision, the Higher Regional Court of Düsseldorf recently determined that claims brought under Section 64 of the GmbHG are not covered by insuring provisions found in many D&O insurance policies.

    Kein D&O-Versicherungsschutz für insolvenzrechtswidrig geleistete Zahlungen nach § 64 GmbHG

    Seit einer unveröffentlichten Entscheidung des OLG Celle vom 01. April 2016 (8 W 20/16) wird intensiv darüber diskutiert, ob Ansprüche gegen Geschäftsführer nach § 64 GmbHG wegen Zahlungen nach Insolvenzreife unter der D&O-Versicherung versichert sind. Mit Urteil vom 20. Juli 2018 hat nunmehr auch das OLG Düsseldorf entschieden, dass eine D&O-Versicherung grundsätzlich nicht die GmbH-Geschäftsführerhaftung gemäß § 64 GmbHG wegen nach Insolvenzreife getätigter rechtswidriger Zahlungen deckt.

    In a landmark decision, Düsseldorf Higher Regional Court clarified that general managers cannot rely on their D&O insurance cover in the event of claims for repayment by an insolvency administrator under Section 64 German Act on Limited Liability Companies (Case I-4 U 93/16).

    Keine Deckung der D&O-Versicherung für Schäden aus Insolvenzverschleppung

    Das Oberlandesgericht Düsseldorf hat in einer Grundsatzentscheidung klargestellt, dass sich ein Geschäftsführer im Falle von Rückforderungsansprüchen eines Insolvenzverwalters gemäß § 64 GmbH-Gesetz nicht auf seinen D&O-Versicherungsschutz berufen kann (Az. I-4 U 93/16).

    Hintergrund war der alltägliche Fall, dass ein Geschäftsführer Zahlungen geleistet hat, obwohl das Unternehmen bereits insolvenzreif war. § 64 GmbH-Gesetz regelt, dass ein Geschäftsführer persönlich für Zahlungen, die die Gesellschaft trotz Zahlungsunfähigkeit oder Überschuldung geleistet hat, einstehen muss.

    Germany confirms there will be no reliance on insurance for damage resulting from a delay in insolvency filing

    In a recent landmark cross border decision the Düsseldorf Higher Regional Court clarified that general managers cannot rely on their Directors and Officers Liability Insurance cover (D&O) in the event of a claim for repayment under Germany's "wrongful trading" legislation. 

    Providing cover for the directors and officers of a company or the company itself, D&O insurance provides reimbursement in the event the insured suffers loss as a result of legal action brought for alleged wrongful acts of the directors and officers.

    The German Federal Court of Justice (Bundesgerichtshof) has taken the opportunity to clarify its position on section 17(2) German Insolvency Act (Insolvenzordnung, InsO).  According to sec. 17(2) a debtor is deemed insolvent if he is unable to pay his debts as they fall due (Zahlungsunfähigkeit).

    German Federal Civil Court strengthens Leasing Receivables Securitisation, Factoring and Asset Based Lending in the Lessor’s Insolvency

    In Germany, securitization SPVs, factoring companies and asset based lenders take security over the leased assets owned by the leasing company by way of a security transfer of title. However, in all cases of a leasing company’s insolvency where the leasing company has still possession of the assets, the owner of the security in the leased assets was in the past not seen as being entitled to realise the value of the assets itself.
