    Insolvency challenges in case of instalment payments agreed within the scope of enforcement proceedings

    In some areas, the 2017 insolvency challenge reform provided creditors with better protection against insolvency challenges by insolvency administrators. This applies in particular to instalments and other deferred payment terms arranged with business partners. Initial court decisions have been issued in the meantime. Clarification was also provided relating to instalment payments, which were frequently arranged by bailiffs within the scope of enforcement cases.

    German regulations for insolvency proceedings of group companies (Konzerninsolvenzrecht)

    Regulations

    On 21 April 2018, new rules regarding the handling of "group" insolvency proceedings of companies in Germany became effective.

    The regulations aimed at better coordination between separate insolvency proceedings, which must be implemented for every company within a group under German insolvency rulings. Prior to the regulations becoming effective, coordination was quite difficult, due to the separate responsibilities of different courts and insolvency administrators.

    Nach einem Urteil des OLG Düsseldorf vom 20. Juli 2018 (Az.: 4 U 93/16) soll sich der Deckungsschutz einer D&O-Versicherung nicht auf den Anspruch einer insolvent gewordenen Gesellschaft gegen ihren versicherten Vorstand oder Geschäftsführer auf Ersatz der nach Eintritt der Zahlungsunfähigkeit oder Überschuldung geleisteten Zahlungen erstrecken (§§ 92 Abs. 2 AktG, 64 GmbHG, 130a HGB). Die Rechtsprechung des OLG Düsseldorf gibt Anlass, bestehende D&O-Versicherungen einer Prüfung zu unterziehen bzw. nachzuverhandeln.

    The relationship between the claim to employment of severely disabled people and the freedom to organize a company’s business

    If the workplace of a severely disabled person is no longer available, the claim to employment under Section 81(4) SGB IX Social Code old version (now Section 164(4) SGB IX) will not come into effect if there is no possibility of continued employment.

    Insolvency administrator's right to sell leased assets in Germany

    Background

    The German Insolvency Act says an insolvency administrator may sell a "moveable object" on which a right to separate satisfaction (Absonderungsrecht) exists if such object is in his possession. The right to separate satisfaction entitles creditors with such a right to be satisfied ahead of all other creditors from the proceeds of selling a separate pool of assets within the insolvent estate
