    116/2014, AND  LA CORUNA PROVINCIAL COURT (DIVISION 4) RULING OF APRIL  22, 
    2014, NO. 118/2014: ARTICLE 90.1.6 OF THE INSOLVENCY ACT REFERS TO THE PLEDGE SECURING FUTURE CREDITS

    Two new decisions on article 90.1.6 of the Insolvency Act coincide in stating that the last  point of this precept refers to the pledge securing future credits, and not to the pledge over future credit rights.

    If severe losses and insolvency occur, the directors’ duty to seek wind -up no longer applies if the company files for insolvency and is declared insolvent. While the composition is being carried out, the duty to seek wind-up and the directors’ resulting liability will not arise.

    This ruling clarifies the role of the directors’ corporate duties in the event that legal grounds can be attributed to the company for wind-up due to losses, and the obligation to file for insolvency if the company becomes insolvent.

    Judgment No. 373/2012, of June 20, 2012, by the Supreme Court: compensation for enforcement of the financial guarantee under RDL 5/5005 once bankruptcy is declared

    Compensation of a debt made after the debtor’s bankruptcy declaration via the appropriation of securities pledged by virtue of a financial guarantee, is admitted.

    The validity of a transaction assessed as “compensation” that was carried out after the bankruptcy declaration of the company in debt was questioned before the Supreme Court. The credit entity applied the value obtained from the reimbursement of an investment fund that had been pledged to secure a credit policy to reduce the debt.

    Case no. 0797/15

    In this Judgment, the Supreme Administrative Court concluded that expenses related to employees, recorded as remuneration, salaries or wages, relevant to the limit of 15% foreseen for acceptance of the expenses with social benefits referred to in Article 43.2 of the CIT Code, are not limited to those that were subject to mandatory Social Security contributions.

    Assignment of a credit with recourse transfers ownership of the credit to the assignee when the transfer is approved and allows the assignee to request that it is separated from the assignor’s insolvency assets.

    In both rulings, the Supreme Court stated the effects of assignment of a credit with recourse on the assignor’s declaration of insolvency.

    Recent developments in Spanish Schemes of arrangement
    2014-01-27

    In 2011, the Spanish legislator introduced the court-sanctioned refinancing agreement (‘Spanish Scheme’) in the Spanish insolvency system. While the introduction of the Spanish Scheme has been praised for providing new tools for debtors to reorganise out-of-court while addressing the collective action problem, certain of its provisions have made this instrument too rigid and, thus, ineffective for tackling Spanish restructurings.

    Sap de Barcelona (secc. 15ª) de 14 de Septiembre 2012, nº 294/2012: prescripción de responsabilidad social de administradores con cargo caducado

    La caducidad del cargo de administrador se produce ope legis, sin necesidad de que acceda al Registro Mercantil ningún documento que lo constate. En estos casos, a diferencia del cese o la separación, el inicio del plazo de prescripción de la acción de responsabilidad contra el administrador comienza desde el momento en que deba considerarse caducado el cargo.
