    Vordering van aandeelhouder van failliet familiebedrijf OAD tegen bank afgewezen

    Een aandeelhouder ziet door een faillissement de waarde van de in een vennootschap gehouden aandelen verdampen. Soms maakt de aandeelhouder een derde het verwijt dat deze verantwoordelijk is voor het faillissement en de daardoor voor de aandeelhouder ingetreden schade. Kan die aandeelhouder zijn schade op de derde verhalen? Deze vraag kwam aan de orde in het faillissement van reisorganisatie OAD. De rechtbank Midden-Nederland deed recent uitspraak in een door de aandeelhouder tegen de bank aanhangig gemaakte procedure.

    A partner is severally liable for a partnership's liabilities which have arisen prior to joining the partnership

    Under Dutch law each partner of a partnership (other than a limited partner) is severally liable for liabilities of the partnership. The Dutch Supreme Court has recently rendered two important judgments with respect to the liability of partners in a partnership and the consequences thereof if the partnership is declared bankrupt.

    Update on Dutch partnerships

    Update on Dutch partnerships Willemijn Punt The Dutch Supreme Court recently delivered two important and interesting judgments in the matter of partnerships. The first judgment relates to the consequences of bankruptcy of a general partnership or a limited partnership for its partners. The second judgment pertains to a matter that has kept opinions in case law and legal literature divided for a long time, namely whether or not an acceding partner is liable for debts of the partnership going back to a moment in time prior to his or her accession.

    Nieuwe wetgevingsinitiatieven rondom bestuurders en toezichthouders

    Met de inwerkingtreding van de Wet Claw back op 1 januari 2014 eindigde een periode waarin diverse ondernemingsrechtelijke wetten in werking traden, waaronder de Wet bestuur en toezicht en de Flex-BV wetgeving. Op dit moment bereidt de wetgever enkele nieuwe wetsontwerpen voor. In de meeste gevallen staat daarin de rol van bestuurders en toezichthouders centraal. Zo ook in het voorontwerp Wet bestuur en toezicht rechtspersonen en binnen het Wetgevingsprogramma Herijking Faillissementsrecht.

    Bill for a directorship disqualification order under civil law: political posturing or a real weapon against bankruptcy fraud?

    Dutch partnership agreements — bankruptcy clause

    International structures as used by multinational companies typically could include limited partnerships or general partnerships. If the Netherlands is involved in these international structures, these partnerships may be set up in such a way that they qualify as transparent for Dutch tax purposes. Further, partnerships could be used to manage the recognition of taxable income (for example, the so called CV‐BV structures).     Supreme Court allows dilution of majority stake in inter access inquiry proceedings
    2011-06-01

    In the corporate inquiry (enquête) procedure of Inter Access the Supreme Court recently confirmed a decision by the Enterprise Chamber where immediate measures were ordered which led to the dilution of a majority shareholder's stake. The managing board of the company was allowed to issue shares without a resolution of the AGM.
