    La Sentencia del Tribunal General del TJUE de 8 de abril de 2014 (asunto T-319/11), resuelve el re- curso de anulación parcial interpuesto por ABN Amro Group NV contra la Decisión 2011/823/UE, de la Comisión, que le impuso la prohibición de adquirir empresas de cualquier sector como una de las condiciones para considerar compatible con el mercado interior la ayuda pública que recibió del Estado holandés. La entidad ABN Amro había recibido ayuda pública para su recapitalización de entre 4.200 y 5.450 millones de euros, así como una ayuda de liquidez de 7.170 millones de euros.

    Main amendments to Spanish pre-insolvency debt restructurings introduced by Royal Decree Act 4/2014

    Introduction This paper sets out to present a concise description of the amendments to the rules governing Spanish pre-insolvency arrangements pursuant to new Royal Decree Act (Order in Council) 4/2014, of 7 March, adopting urgent measures in relation to refinancing and restructuring of corporate debt (“RDA 4/2014”), in force as from 9 March 2014. This new text has introduced a series of important changes, most of them via amendments to the Spanish Insolvency Act (“SIA”), aimed at easing and expediting preinsolvency debt refinancing and restructuring processes in Spain.

    New rules for distressed debt financial restructuring

    On 31 December 2013, Banco de Portugal issued instruction no. 32/2013 implementing new rules on the identification and flagging of distress debt financing restructures (“Instruction 32/2013”) and revoking its instruction no.18/2012 on the same matter.

    Instruction 32/2013 is applicable to credit institutions and to financial institutions with lending activity as well as branches of credit institutions with head offices outside the EU (“Institutions”).

    Un crédito hipotecario no comunicado sigue siendo un crédito con privilegio especial

    Interesante Resolución de la Dirección General de los Registros y del Notariado de 5 junio 2019. En el origen, se trata de la inscripción de una venta directa de bien hipotecado, hecha en liquidación concursal, por un valor inferior al de tasación, pero sin contar con el consentimiento del acreedor hipotecario, como impone el artículo 155.4 de la Ley Concursal (LCon). Según la administración concursal, este consentimiento no es preciso, pues en virtud del artículo 97 ha desaparecido el crédito hipotecario por no estar incluido en la lista ni haber sido ésta objeto de impugnación.

    ¿Devengo de intereses moratorios postconcursales en créditos con privilegio especial?

    Sentencia del Tribunal Supremo 227/2019, de 11 abril. Después de la declaración de concurso de la prestataria, la acreedora hipotecaria (una Caja Rural) comunicó un crédito de 117.174,82 euros, que se correspondía a 114.839,44 euros de principal, 1.089,29 euros de intereses remuneratorios y 127,16 euros de intereses de demora. El crédito es clasificado como crédito con privilegio especial. Abierta la liquidación, se procedió a la subasta de las dos fincas sobre las que se había constituido la hipoteca en garantía del reseñado crédito. La subasta se celebró el 11 de marzo de 2013.

    Rescue financing alternatives in Spain

    1. Introduction

    Given the situation of Spanish market generally —and the latest reforms on restructuring of the financial sector more particularly— it seems that cash flow shortage may be ongoing in the near to mid term future for some Spanish corporations. Upon this situation stressed or distressed companies may consider rescue financing alternatives in substitution —or in addition to— other traditional funding. Generally within a broadest restructuring deal, non-bank lenders may have an interesting role to play in providing for liquidity facilities.
