The Supreme Court of Spain has recognized it its Judgment dated September 5th, 2012, the lack of consent in a work contract on which one of the parties applied for the bankruptcy proceedings 10 days after such contract was entered by both parties.
The parties entered into a contract for execution of work by virtue of which the company that few days later applied for the insolvency proceedings, was committed to carry out the works of a building under construction.
Once the bankruptcy proceeding was started, each party issued a claim within the insolvency proceeding.
Two companies showed interest in the assets of a third company that was in a state of bankruptcy.

En el concurso de acreedores de Cubigel Compressors S. A. U. (Cubigel), la administración concursal calificó de subordinado el crédito de Koxka Technologies S. L. U. (Koxka) por pertenecer esta sociedad al mismo grupo que la primera. De hecho, tanto Cubigel como Koxka eran sociedades unipersonales y sus únicos socios (a su vez sociedades mercantiles) estaban participados en porcentajes del 65 % y del 79 % por una misma persona física.
El Tribunal Supremo confirma en casación la procedencia de imponer sanción en supuestos de operaciones de reestructuración empresarial carentes de motivos económicos válidos sobre la base de argumentos que, en última instancia, lo llevan a reconducir la operación al campo de la simulación negocial.

Article 93(2)(3) of the Spanish Insolvency Act1 (abbrev. LC) states that companies that belong to the same group of companies as the insolvent debtor shall be regarded as parties related to such debtor.
