    Royal Decree Act 4/2014 concerning the improvement of the legal framework of corporate refinancing and debt restructuring agreements

    The Cabinet has approved a Royal Decree Act (Order in Council) establishing urgent measures to expedite and streamline corporate refinancing and debt restructuring processes. In essence, these measures aim at ensuring the survival of companies that, notwithstanding the accumulation of excessive financial burden, are viable from an operational point of view through an orderly and balanced system of agreements with  creditors and a wider range of refinancing options.

    The Spanish Insolvency Act (hereinafter, the SIA) establishes two simple and straightforward options designed to bring a solution to the Debtor’s insolvency: 1) either enter into a legal transaction with the creditors in which the free will of the parties is evidenced (this is known as composition of creditors or creditor’s agreement) or; 2) commence the winding-up of the company.

    Condición resolutoria y cláusula penal en el concurso

    La Sentencia del Tribunal Supremo 710/2019, de 8 de marzo, resuelve en casación, por primera vez, creo, el extremo relativo a la oponibilidad al concurso de una condición resolutoria acompañada de una cláusula penal de retención de la totalidad del precio ya pagado por el comprador inmobiliario insolvente. Según la Sala, la condición resolutoria (inmobiliaria) es plenamente oponible al concurso; en este caso se hallaba inscrita, pero no parece que esta condición haya sido relevante para su efectividad.

    Valor que se ha de restituir al concurso por hipotecas rescindidas, pero ejecutadas

    Se hipotecaron fincas en garantía de una refinanciación bancaria, la deudora es declarada en quiebra y se fija como fecha de retroacción una anterior a la de constitución de la hipoteca. El valor de tasación es aproximadamente de 1 700 000 euros; el banco instó la ejecución de las hipotecas. Durante la tramitación de la ejecución, el banco cedió su crédito hipotecario a un tercero por un precio de 767 127,82 euros. El tercero se subrogó en la posición del banco como ejecutante.

    Avoidance of pre-insolvency overcollateralisation?

    Our legislation prohibits (as unconscionable) clauses that, while not negotiated with consumers, require “collateral disproportionate to the risk assumed” (art. 88(1) of the Spanish Consumer and User Protection Act). Note that this rule has not been the subject of any case law development and that the clause that paradoxically could yield to art.
