    Il Consiglio di Stato – Sez. III, con sentenza n. 101 del 14 gennaio 2014, torna dopo pochi giorni sulla peculiare questione giurisprudenziale relativa agli effetti derivanti dall’istanza di ammissione a concordato preventivo con continuità aziendale, depositato da un’impresa successivamente alla richiesta di partecipazione ad una gara pubblica. Con quest’ultima recentissima sentenza il Consesso amministrativo ha optato per una diversa interpretazione del combinato disposto di cui all’art. 38 co. 1 del Codice dei contratti pubblici e l’art. 186 bis Legge Fallimentare.

    Nuova condanna dell’italia per ritardi nei pagamenti della PA alle imprese?

    In data 3 febbraio 2014, la Commissione Europea ha aperto, a seguito delle numerose segnalazioni pervenutele dall’ANCE, da Assobiomedica, Confindustria e Confartigianato, una procedura accelerata di infrazione nei confronti dell’Italia, per presunti ritardi nei pagamenti della Pubblica Amministrazione (“PA”) alle imprese.

    A partire dalla suddetta data, l’Italia ha a disposizione 5 (cinque) settimane di tempo per rispondere alla Commissione Europea, dimostrando l’infondatezza delle segnalazioni e, di conseguenza, della procedura aperta nei suoi riguardi.

    The institution of composition with creditors enabling business continuity (Article 186-bis of the Bankruptcy Law) and its impact on the legislative framework of public contracts (on the matter see “Composition with creditors enabling business continuity in public contracts”, June 2013, in www.nctm.it/wp-content/uploads/2013/11/CPCP) have given rise to contrasting applications of case-law, and as matters stand, the institution is often applied in different ways.

    “Concordato preventivo con continuita’ aziendale” and public contracts

    The procedure of composition with creditors aimed at business continuity (“concordato preventivo con continuità aziendale”, provided by art. 186-bis of the Bankruptcy Law) has a major impact on the rules governing public contracts, above all with reference to the requirements requested both for the participation of economic operators in the public tender procedures and for their capacity to enter into agreements with public entities.

    Capital call subscription credit facilities (each, a “Facility”) continued their positive momentum in 2013  and had an excellent year as an asset class. As in the recent past, investor (“Investor”) funding performance remained as pristine as ever, and the only exclusion events we are aware of involved funding  delinquencies by noninstitutional Investors (in many cases subsequently cured). Correspondingly, we  were not consulted on a single Facility payment event of default in 2013.

    Mag een subsidie door een derde overgenomen worden als de subsidieontvanger failliet gaat?

    Het komt helaas voor dat een subsidieontvanger failliet gaat. Vanuit beleidsmatig oogpunt is het vaak wenselijk dat het gesubsidieerde, nog lopende project kan worden afgerond. Vanuit juridisch oogpunt is het echter de vraag of, en zo ja onder welke voorwaarden, de subsidie kan worden overgenomen door een derde die het project wil voortzetten. Zeker als de subsidie is verleend na een zogenaamde tenderprocedure, is het de vraag in hoeverre een subsidieverleningsbesluit nog gewijzigd kan worden.

    Spanish Parliament passes bill amending Insolvency Act and Public Sector Contracts Act

    On October 1, 2015, the Public Sector Legal Regime Act (Ley 40/2015, 1 de octubre, de Régimen Jurídico del Sector Público) ("PSLR Act") was passed by the Spanish Parliament. As discussed in more detail below, the PSLR Act introduces, among other things, the following reforms to the Spanish Insolvency Act (Ley 22/2003, de 9 de Julio, Concursal) ("SIA") and to the Spanish Public Sector Contracts Act (Real Decreto Legislativo 3/2011, de 14 de noviembre, por el que se aprueba el texto refundido de la Ley de Contratos del Sector Público) ("SPSC Act"):
