    Doorstart van winkelketens niet vanzelfsprekend

    Het aantal faillissementen in Nederland neemt af, maar de retail branche is er deze zomer toch niet zonder kleerscheuren vanaf gekomen: MS Mode, Sluiterij Mitra, Scheer & Foppen en McGregor zijn recent nog failliet verklaard. Bij dergelijke faillissementen zal door de curator altijd gekeken worden naar de (on)mogelijkheid van een doorstart. Een geïnteresserde koper met een goed bod is echter niet genoeg. Om een doorstart van een winkelketen te laten slagen, is vaak van belang dat de (goedlopende) locaties overgenomen kunnen worden.

    Supreme Court renders groundbreaking decision on partnership bankruptcies

    In Dutch case law it has long been held that the bankruptcy of a Dutch partnership automatically entails the bankruptcy of each of the partners. In a decision that explicitly breaks with previous case law, the Dutch Supreme Court found on 6 February 2015 that the bankruptcy of a Dutch partnership does no longer entail the bankruptcy of its partners.

    A partner is severally liable for a partnership's liabilities which have arisen prior to joining the partnership

    Under Dutch law each partner of a partnership (other than a limited partner) is severally liable for liabilities of the partnership. The Dutch Supreme Court has recently rendered two important judgments with respect to the liability of partners in a partnership and the consequences thereof if the partnership is declared bankrupt.

    The bill implementing the European framework for recovery and resolution (BRRD and SRMR)

    On 27 May 2015, the bill for the Act implementing the European framework for the recovery and resolution of banks and investment firms (the "Implementation Act") and the explanatory memorandum thereto (the "Explanatory Memorandum") were published. The purpose of the Implementation Act is to implement the Bank Recovery and Resolution Directive ("BRRD") and to facilitate the application of the Single Resolution Mechanism Regulation ("SRMR").

    Consultation Dutch Implementation Act European intervention framework

    On 21 November 2014 the draft Dutch Implementation Act for the European Framework for the Recovery and Resolution of Banks and Investment Firms (the "Implementation Act") and draft guidelines were published for public consultation purposes.     A pre-pack is the term used for the restructuring of a company through a transaction that is prepared as much as possible outside of formal insolvency proceedings, and whereby the enterprise survives but some or all of the company's debt is restructured. The aim of preparing the transaction in advance is to ensure the maximum preservation of value. Several structures can be distinguished.

    Dutch Supreme Court introduces features of universality principle in Dutch international insolvency law
    2013-09-24

    In a ground-breaking decision, the Dutch Supreme Court recently found that a foreign bankruptcy trustee may in principle exercise the powers conferred on him under the lex concursus (the law governing the bankruptcy) in the Netherlands as well. Such powers can include the management and disposal of assets located in the Netherlands at the time of the foreign bankruptcy order.
