    The Other Side of The Coin: Cryptocurrency Assets in Bankruptcy

    On July 5, 2022, cryptocurrency brokerage Voyager Digital filed for chapter 11 in the Southern District of New York Bankruptcy Court, citing a short-term “run on the bank” due to the “crypto winter” in the cryptocurrency industry generally and the default of a significant loan made to a third party as the reasons for its filing. At Voyager’s first day hearing on July 8, 2022, the Bankruptcy Court asked the critical question of whether the crypto assets on Voyager’s platform were property of the estate or its customers.

    Irish High Court Makes Orders Winding Up French and US Companies

    BMR Slendertone SARL and Slendertone Distribution Inc are wholly owned subsidiaries of Bio Medical Research Limited, an Irish incorporated company involved in the manufacture of electronic muscle stimulation toning products in over 20 countries. Following an unsuccessful examinership, on 2 June 2022 Orders were made winding up the Irish company and appointing a liquidator.

    NCLT has discretion to reject financial creditor’s CIRP application even when corporate debtor is in default

    The Supreme Court has held that Section 7(5)(a) of the Insolvency and Bankruptcy Code, 2016 confers discretionary power on the NCLT with respect to admission of application under said provision.

    The Court was however of the view that such discretionary power cannot be exercised arbitrarily or capriciously and that NCLT must consider the grounds made out by the corporate debtor against admission, on its own merits.

    Contractor insolvency: All change for construction companies?

    The threat of contractor insolvency could be a driver for change in the way construction firms operate.

    As inflation rises, the chance of contractor insolvency increases. Rising materials prices and increasing labour costs, combined with supply chain issues, mean that already thin margins become even slighter, increasing the risk that a contractor might cease trading. A focus on lowest price tenders is also exacerbating the situation.

    台湾 鴻海が中国紫光集団に435億台湾ドルを出資、専門家は半導体事業のポートフォリオ拡大が目的と考察

    中国半導体大手の紫光集団は破産の発表後、新たな株主を取り込んでいるが、鴻海集団傘下の富士康工業互聯網(FII)も新株主として名を連ねており、今後総額約98億元(約435億台湾ドル)の出資を行う予定である。これにより鴻海集団の半導体事業ポートフォリオは大きな飛躍を遂げると見られる。

    中国メディアの報道によると、紫光集団は7月11日に会社株式及び新任取締役、監査役、CEOに関する工商変更登記手続きを完了させている。これまで株主だった清華控股及び北京健坤投資集団は完全に撤退し、智路資本及び建広資産管理により立ち上げられた北京智広芯控股が紫光集団全ての株式を継承した。

    業界の分析によれば、紫光集団の事業領域はメモリやIC設計に及び、同集団は中国最大のメモリチップメーカー・長江存儲や、独立系の携帯端末用チップメーカー・紫光展鋭の株主でもある。鴻海集団の紫光集団への出資は、鴻海集団のメモリ及び通信用チップ事業への参入、さらにはファウンドリ/製造、IC設計、OSATがワンストップサービスで行われることを意味する。メモリや通信用チップはいずれも現在鴻海集団で不足している半導体資源であるため、メモリーや通信に関する事業ポートフォリオを拡大できれば、今後半導体や電気自動車事業において大きなアドバンテージとなる。

    UK government consults on potential new cross-border insolvency regulations
    2022-07-18

    On 7 July 2022 the UK government launched a consultation on the implementation of two model laws adopted by the United Nations Commission on International Trade Law (UNICTRAL): the Model Law on Recognition and Enforcement of Insolvency-Related Judgments and the Model Law on Enterprise Group Insolvency. The government claims that the consultation signals the UK's 'ongoing commitment to mutual cooperation and international best practice' in cross-border insolvencies.
