    Liquidators retain power to publicly examine

    The High Court this afternoon unanimously dismissed Clive Palmer and Ian Ferguson's challenge to the constitutional validity of section 596A of the Corporations Act.

    This means that a liquidator's power to publicly examine and compel the production of documents remains intact and removes any doubt about the powers of liquidators under section 596A of the Corporations Act.

    如何看待上市公司破产重整

    破产重整,实践中也称之为司法重组、法庭内重组、破产保护,是在人民法院主导下进行的企业重组活动,是《企业破产法》规定的三种程序之一。与破产清算程序不同,破产重整程序旨在帮助限于困境的企业脱离困境、实现重生。自《企业破产法》于2007年6月1日实施以来,沪深两市已有49家上市公司实施了破产重整,其中47家已完成重整。此外,部分从沪深两家交易所退市的公司也实施了破产重整。从实践来看,破产重整的上市公司或者退市公司多数具有债务负担沉重、持续经营能力较弱、盈利能力较差的特点。从结果来看,破产重整程序确实起到了拯救困难企业的积极作用。长航凤凰(SZ,000520)、长航油运5(400061)是近年来通过破产重整程序实现企业脱困复兴的典型案例。

    Clarity at last: Liquidators and receivers not required to account to the ATO under s 254 without an assessment

    Today, by a majority of 3-2, the High Court of Australia in Commissioner of Taxation v Australian Building Systems Pty Ltd (in liq) [2015] HCA 48 confirmed that s 254(1)(d) of the Income Tax Assessment Act 1936 (Cth) (ITAA 1936) does not impose an obligation on trustees (including administrators, receivers and liquidators) to retain sufficient moneys from the trust fund to pay tax unless a relevant assessment has been issued.

    After 448 days in court, over 85,000 documents and more than 10 judgments, a special bench of the Western Australian Court of Appeal handed down its decision in Westpac Banking Corporation v The Bell Group Ltd (in liq) (No.3) [2012] WASCA 157 (Bell Appeal Decision). The Bell Appeal Decision raises issues relating to the integrity of transactions with companies facing insolvency, which may create serious liability issues for company directors and lenders alike.

    私募股权投资纠纷:优先清算权条款该如何执行

    优先清算权条款是境外风险投资项目的常见条款,随后逐渐在国内私募股权投资文件中采用。很多投资人关心,这一舶来品能否获得中国司法机关的认可,我们简要分析如下:

    一、什么是优先清算权

    优先清算权,是指公司清算时,部分股东优先于其他股东获得剩余财产分配的权利;或者,在约定的“视同清算事件”发生时,部分股东优先于其他股东从公司获得收益的权利,“视同清算事件”通常包括公司合并、被并购、出售控股股权、出售主要资产等事件。

    在私募股权投资项目中,投资人为保障其自身权益采用优先清算权条款,目的是:在公司经营不善遭遇清算时,投资人可以优先拿回一些补偿;在投资人无法通过公司上市退出,发生公司被并购等“视同清算事件”发生时,其能够优先收回其投资成本和一定程度的投资回报,实现资产变现。该条款可谓投资人的“分钱利器”。

    二、如何看待该条款效力

    《公司法》第34条明确规定股东可以自由约定“利润分配”的比例。该条规定:“股东按照实缴的出资比例分取红利;公司新增资本时,股东有权优先按照实缴的出资比例认缴出资。但是,全体股东约定不按照出资比例分取红利或者不按照出资比例优先认缴出资的除外。”
