    COVID-19 insolvency emergency measures in the Czech Republic

    The draft Lex Covid, which amends insolvency and enforcement laws and draft law on certain measures related to repayment of loans in relation to the COVID-19 pandemic, has been approved by the Czech Parliament and must now be counter-signed by the President.

    Insolvenzrechtliche Privilegierung von Darlehen aufgrund von Corona

    Seit dem 1. März 2020 ausgereichte Darlehen unterliegen dank neuer Gesetzgebung Privilegierungen im Hinblick auf insolvenzrechtliche Anfechtungs- und Haftungstatbestände.

    Am 27. März 2020 wurde das Gesetz zur vorübergehenden Aussetzung der Insolvenzantragspflicht und zur Begrenzung der Organhaftung bei einer durch die COVID-19-Pandemie bedingten Insolvenz (COVID-19-Insolvenzaussetzungsgesetz – COVInsAG) verkündet. Dieses trat rückwirkend zum 1. März 2020 in Kraft.

    Share security - how to Box Clever with voting rights

    The lender's dilemma

    Lenders who take security over shares in an English company have to decide whether to take either:

    • a legal mortgage by becoming registered owner of the shares
    • an equitable mortgage or charge with the chargor remaining the registered owner.

    A legal mortgage gives the lender the right to vote subject to the terms of the mortgage document and prevents the chargor from disposing of legal title to the shares to a third party, as the lender is the registered owner of the shares.

    Insolvency administrator's right to sell leased assets in Germany

    Background

    The German Insolvency Act says an insolvency administrator may sell a "moveable object" on which a right to separate satisfaction (Absonderungsrecht) exists if such object is in his possession. The right to separate satisfaction entitles creditors with such a right to be satisfied ahead of all other creditors from the proceeds of selling a separate pool of assets within the insolvent estate

    Security interests in mixed goods under scrutiny in Singapore High Court
    2017-10-03

    Background

    Pars Ram Brother (Singapore Company) obtained trade financing facilities from various banks, and pledged the goods financed by each bank under a pledge arrangement as security.

    The Singapore Company entered into voluntary liquidation. The liquidator discovered that the Singapore Company had mixed the goods making it impossible to identify which goods were financed by which bank.

    UK court sanctions Amigo's scheme that allows for two alternative outcomes

    The court sanctioned one of two potential schemes of arrangement for Amigo Loans Ltd (Amigo) and approved a plan that provided for two possible outcomes.

    Background

    Amigo provided guarantor loans to customers with poor credit scores. Amigo owed customers and the Financial Ombudsman Service £375 million for customer complaints and was insolvent.

    Relief for debtors in Autumn 2022 in Czech Republic
    2022-07-07

    While the Czech government has not yet enacted the June 2019 EU Directive on restructuring and insolvency, it has proposed another debt relief measure, the Milostivé léto or 'Debt Jubilee'. This will give debtors the opportunity to discharge debts owed to the Czech state.

    Background

    The measure will provide relief for debts where interest repayments substantially exceed the principal amount. The measure follows on from the previous 'Debt Jubilee' between 28 October 2021 and 28 January 2022 when 42,000 debt enforcement proceedings were cancelled.

    UK insolvency and national security - new hurdles for distressed M&A
    2021-09-08

    Insolvency practitioners and buyers of distressed assets beware: although the National Security and Investment Act 2021 (NSI Act) will come into effect in the UK on 4 January 2022, it has retrospective power to examine transactions from 12 November 2020.

    Het nieuwe beslag- en executierecht
    2021-04-30

    In Nederland is het, vergeleken met omringende landen, vrij eenvoudig om beslag te leggen. De Wet herziening beslag- en executierecht (de ‘Wet’) beoogt het beslag- en executierecht voor schuldeisers eenvoudiger te maken door de mogelijkheden tot digitaal beslag leggen te verruimen. Ook wordt het beslag- en executierecht efficiënter met als gevolg dat schuldeisers minder kosten hoeven te maken om vorderingen te incasseren. Enig tegenwicht biedt de Wet, uitgebreider dan voorheen, door waarborging van het bestaansminimum van natuurlijke personen met schulden.
