    A new corporate restructuring process for the Cayman Islands

    On 21 October 2021, the Cayman Islands' legislature gazetted the Companies (Amendment) Bill 2021 (Bill) which introduced a new corporate restructuring process in the Cayman Islands (Cayman). The Bill represents a welcome development to the restructuring regime in the Cayman Islands and once again fortifies the Cayman Islands' standing reputation as a leading offshore financial hub and a popular destination for foreign investment opportunities.

    Obtaining a Moratorium in Support of a Cayman Islands Restructuring

    In CHC Group Ltd ("CHC") the Cayman Islands Grand Court has determined that, in certain circumstances, directors of a company can commence Cayman Islands restructuring provisional liquidation proceedings ("RPL Proceedings") without the need for a shareholders' resolution or authorisation in the company's articles of association. This decision allows greater access by companies to the Cayman Islands restructuring regime by confirming a practical solution to the so-called Emmadart issue.

    Voluntary Winding-up of a Cayman Islands Company

    A Cayman Islands company can be dissolved by the appointment of a liquidator or it can be dissolved without such appointment if the company is struck off the register as a result of an application to the Registrar of Companies for the purpose.

    Voluntary liquidation

    In circumstances where the company has been active and has substantial assets and liabilities, it is normal and recommended for the company to be liquidated.

    Not wilfully in default: the Court of Appeal's judgment in Weavering

    Last week, the Cayman Islands Court of Appeal handed down its judgment in Weavering Macro Fixed Income Fund Limited (in Liquidation) (the "Fund") v Stefan Peterson and Hans Ekstrom (the "Directors").  The appeal from the first instance decision was allowed and the Grand Court's order of 26 August 2011 was set aside.

    English Court recognises sole director's decision-making powers

    The High Court has recently held that the appointment of administrators by a sole director of a company with unamended Model Articles was valid.  

    Background 

    The document allegedly appointing the administrators of the company was a standard set of board minutes, reportedly chaired by a man and recording that a quorum was present. In fact, there was no meeting, and the decision was taken alone by the sole female director.
