Last week marked another instalment in the notorious insolvency of Comet Group plc (Comet) when the Court of Appeal unanimously set aside the decision of the High Court at first instance which, at the time, was claimed to be the largest successful preference claim in value, resulting in Darty Holdings SAS (successor to Kesa International Ltd (KIL)) being ordered to pay approximately GBP90 million to the liquidators of Comet.
Analysis and Commentary on the Insolvency Statistics Q2 2023
The quarterly insolvency statistics for April to June 2023 show that corporate insolvencies across the UK1 are at a 14-year high.
Increased insolvencies appear to be continuing with the monthly statistics for both August and September 2023, showing corporate insolvency numbers were higher than the same month last year. July’s figures showed a slight decrease year on year.

一、架构拆除的必要性
根据我国《公司法》,上市公司是指股票在证券交易所上市交易的、在中国境内设立的股份有限公司。但是,对于境外主体在境内A股上市的突破体现在根据《关于开展创新企业境内发行股票或存托凭证试点若干意见的通知》规定红筹企业允许发行股票或存托凭证在境内上市,例如“H公司(证券代码:688***)”以红筹企业通过直接跨境发行股票的方式以及“J公司(证券代码:689***)”以红筹企业通过发行存托凭证(CDR)的方式在境内上市,但前述情形下对于拟上市公司“红筹企业”的行业、预计市值等方面要求较高,且“红筹企业”一般被认为是注册在境外,主要经营活动在境内的企业[1]。因此,对于主要业务运营在美国且融资平台注册在中国境外的主体目前仍难以在境内直接上市。
The Hong Kong Courts exercise supervisory jurisdiction over liquidations in Hong Kong. Recently, the High Court reiterated its role to assist liquidators to effectively discharge their duties, in the best interest of the general body of creditors.
DLA Piper Hong Kong recently represented Dr. Hui Chi Ming as a judgment creditor (Judgment Creditor) and petitioner to a bankruptcy proceeding against Mr. Koon Wing Yee (Debtor). In the judgment of Re Koon Wing Yee [2023] HKCFI 2301, the Court of First Instance made a bankruptcy order against the Debtor because he had failed to show a bona fide dispute on substantial grounds regarding the debt.
On August 17, 2023, China Evergrande Group, one of China’s largest real estate developers, and its affiliates filed chapter 15 petitions in the US Bankruptcy Court for the Southern District of New York in Manhattan seeking recognition of foreign restructuring proceedings in the High Court of Hong Kong and in the High Court of the Eastern Caribbean Supreme Court in the British Virgin Islands.
Deciding the parameters of directors' personal liability for actions, or omissions, when a company continues to trade while it is or near insolvent requires a balance to be struck between allowing directors latitude to try to rescue the company and protecting the company's creditors.
From 1 September 2023, judicial reorganisation proceedings by way of an amicable agreement as well as those with a view to a collective plan will both have a private variant. This will help avoid negative publicity and allowing the debtor to prepare its restructuring in all quietness.
As a reminder, a company confronted with financial difficulties threatening its continuity may file for judicial reorganisation proceedings to get protection against enforcement actions and bankruptcy filings by its creditors.
From 1 September 2023, the restructuring expert will make their first appearance in Belgian restructuring law. This new court-appointed practitioner can be assigned a variety of tasks, ranging from assisting the debtor in negotiations with creditors to supervising the restructuring process and compliance with creditor information obligations.
From 1 September 2023, Belgian insolvency law will provide a new discrete preparatory procedure before bankruptcy. It’s aimed at facilitating a value-maximising transfer of assets or activities as a going concern in the interest of creditors and employees.
