    Regulatory obligations often conflict with bankruptcy law. It has long been considered a necessary benefit that people get a fresh start through bankruptcy. The law provides for exceptions to this principle, on the basis of equally important public policy grounds that certain penalties and obligations should not be so easily avoided.

    FCA Publishes Proposals on its Approach to Schemes of Arrangement, Restructuring Plans and CVAs

    On 25 January 2022 the FCA published its proposals on companies that seek to manage their liabilities through the use of schemes of arrangement and restructure plans available under company law and voluntary arrangements available in insolvency law.

    The FCA are seeking views on these proposals which represent a clear flexing of the FCA’s muscles in the interest of protecting customers and will clearly be of interest to company directors, their accountants and lawyers and insolvency practitioners.

    In Mediation, Ignore The “F” Word: “Final Offer”

    “I have an opening statement that I give at the beginning of every mediation, and it goes like this”:

    • “I don’t have a lot of rules but I have one firm rule and that is nobody uses the ‘F’ word—“final offer.”

    “And it’s very true. If I had listened to the parties in the Detroit bankruptcy when they said, ‘This is our final offer,’ and banged their laptops shut, Detroit would still be in bankruptcy. So ignore the ‘F’ word.”

    A limitation period is the statutory time limit set out in law for a person to file a lawsuit as a result of some loss or damage. Each Canadian province has a specific statutory framework governing limitation periods for legal matters falling under provincial jurisdiction. Many provinces use a “discoverability” scheme under which a person must commence legal proceedings within two years of specific factual elements being “discovered” by the person.

    The future of sequestration in Scotland

    On 26 January 2022, the Covid recovery and Reform Bill (the "Bill") was introduced to the Scottish Parliament. The Bill followed a consultation exercise by the Scottish Government on the proposed changes to Scottish bankruptcy (known as sequestration). These proposed changes generated a good deal of interest with almost 3,000 responses being received from individuals and representative organisations.
