    Two general elections were held in Spain recently (the first in December 2015) and the various political parties were unable to reach an agreement to form a government until October 2016. This meant a major slowdown in law-making activity. The following are the main legislative changes and case-law precedents from 2016:

    Maritime privileged credits under Insolvency Act
    2017-01-11

    The Insolvency Act (22/2003) is based on the principle of universality with regard to assets and liabilities. However, in accordance with the act, certain credits – including maritime privileged credits – must be separated from a bankruptcy estate, resulting in a breach of this principle.

    Insuficiencia de masa activa y honorarios de la administración concursal
    2016-07-22

    El Tribunal Supremo ha aclarado en una reciente sentencia, de fecha 8 de junio de 2016, el orden de pago que corresponde a los honorarios de la administración concursal cuando la masa activa es insuficiente para el abono de la totalidad de los créditos contra la masa. Se distingue, a tal efecto, entre los que resultan estrictamente necesarios para hacer líquidos los activos del concursado y para gestionar el pago, de los que no tienen tal carácter.

    Standstill of Guarantee Enforcement Due to Court Sanction Is Not a Disproportionate Sacrifice
    2016-10-31

    In judgment 297/2016 of September 22, 2016, by Commercial Court No. 6 of Madrid, the court rejects the appeal filed by a dissenting entity affected by a court-sanctioned refinancing agreement. The appeal argued the existence of a disproportionate sacrifice due to the standstill of the notarial enforcement of a pledge on shares already executed.

    Resolution of agency agreements due to declaration of insolvency
    2016-10-31

    If an agency agreement is resolved due to the agent being declared insolvent, the business owner must compensate the agent for clientele if the requirements under the Agency Act are met (the agent brought new clients or clearly increased transactions with existing clients, and the previous activity is still beneficial for the business owner).
