    When a company files for bankruptcy, employees are faced with uncertainty on a number of issues. Everything from outstanding wages to benefit entitlements are suddenly at risk. Further, when a company becomes insolvent, employees are often laid off in circumstances that fail to satisfy statutory or common law notice period entitlements. However, under the Bankruptcy and Insolvency Act (“BIA”), employees are often barred from fully recovering what they are owed.

    Settling Claims against Directors of Insolvent Companies - the current position in Spain

    As Insurers underwriting risks in Spain are aware, the recent financial crisis resulted in a significant increase in claims against directors by trustees appointed when a company enters into an insolvency process. Insolvency proceedings in Spain reach a determination as to the culpability of directors implicated in the company's demise. In this context, the Spanish courts will look at whether the directors were "guilty" or whether the insolvency was "fortuitous". However, not all determinations will express whether the director's conduct was in bad faith or wilful.

(Koxka) por pertenecer esta sociedad al mismo grupo que la primera. De hecho, tanto Cubigel como Koxka eran sociedades unipersonales y sus únicos socios (a su vez sociedades mercantiles) estaban participados en porcentajes del 65 % y del 79 % por una misma persona física.

    Sobre la renuncia total o parcial de privilegios especiales ya comunicados como tales en el concurso

    La legislación concursal no ha previsto que un acreedor con privilegio especial pueda comunicar su crédito como ordinario y tampoco que el acreedor que ya aparece en la lista como privilegiado especial pueda renunciar a su privilegio y engrosar a efectos estratégicos (aprobación o no aprobación del convenio) la lista de los acreedores ordinarios. Hay que aceptar semejante posibilidad, incluso más allá del plazo legalmente previsto para modificar la lista de acreedores.
