The Supreme Court has handed down its judgment in the case of The Trustees of Olympic Airlines SA Pension and Life Assurance Scheme –v- Olympic Airlines SA. Pitmans’ Trustee company, PTL, were the Appellants.
The question at issue was what connection must a foreign company, that has its Centre of Main Interests (COMI) in another EU country, have within the United Kingdom, to entitle an English Court to wind it up.
In its judgment dated 2 September 2014, the Court of Appeal in The Hague ruled that moveable assets obtained subject to a retention of title (eigendomsvoorbehoud) should be considered future assets, and that ownership of such assets will be acquired after satisfaction of the relevant condition precedent (typically, full payment of the purchase price). A right of pledge over future assets created in advance will not be valid if the pledgor goes bankrupt before acquiring ownership of such assets.
In a judgment dated 20 March 2015, the Dutch Supreme Court ruled that all banks and intermediaries involved in the execution of a bank transfer, including the bank responsible for recording receipt of the bank transfer into the account held with it by the payee, qualify as parties whose services are directly or indirectly used by the payor in connection with the bank transfer.
Een failliet bedrijf kan aanlopen tegen handhavingsacties van bestuursorganen. Hierbij kan bijvoorbeeld worden gedacht aan verontreiniging van gronden onder een industrieel bedrijf, waartegen het bestuursorgaan optreedt door oplegging van lasten met sanering van de gronden als doel. Het bestuursorgaan komt dan de curator als beheerder van de boedel tegen. Kunnen bestuursorganen die bevoegd zijn om tegen bepaalde overtredingen op te treden nu de curator aanspreken tot naleving van de wettelijke verplichtingen ten aanzien van de milieuverontreiniging die voorheen op de onderneming rustten?
In the recent decision of Horton v Henry [2014] EWHC 4209 (Ch) the High Court held that a Bankrupt’s unexercised rights to draw his pension did not represent income to which the Bankrupt was entitled within the meaning of section 310(7) of the Insolvency Act 1986 and so refused to make an Income Payments Order. This contradicted the controversial decision in Raithatha v Williamson [2012] EWHC 909 (Ch) and has created uncertainty as to which is the correct position. The Horton case is being appealed.
The High Court has held that a bankrupt’s unexercised rights to draw his pension did not represent income to which the bankrupt was entitled and so refused to make an income payments order, contradicting the controversial decision in Raithatha v Williamson which held that a bankrupt’s right to draw income from a personal pension may be subject to an income payments order even if the individual has yet to draw his pension.

In het kader van het wetgevingsprogramma herijking faillissementsrecht is op 1 september 2014 het wetsvoorstel civielrechtelijk bestuursverbod ingediend bij de Tweede Kamer. Dit wetsvoorstel voorziet in de mogelijkheid om in geval van faillissement een (oud-)bestuurder of feitelijk beleidsbepaler van een rechtspersoon voor maximaal vijf jaar te verbieden een bestuursfunctie of functie als commissaris te bekleden binnen een rechtspersoon.
At the end of October the Pension Protection Fund announced that it had come to an agreement with Monarch Airlines and the Pensions Regulator to accept the Monarch Airlines Limited Retirement Benefit Scheme into a PPF assessment period. The agreement, reached after discussions between the parties and the Trustees of the Scheme will enable the airline to restructure its business and accept £125m in new capital and liquidity facilities from Greybull Capital LLP in return for a 90 per cent shareholding.
