The House Judiciary Subcommittee on Regulatory Reform, Commercial, and Antitrust Law recently held hearings regarding certain provisions of the Bankruptcy Code, including the safe harbor from preference and fraudulent conveyance claims for “settlement payments.”

After five years of litigation, on 3 April 2014, the US Department of Justice entered into a settlement agreement with Kerr-McGee Corporation and its parent company, Anadarko Petroleum (“Kerr-McGee”). This agreement requires Kerr-McGee to pay $5.15 billion in order to compensate for its environmental and tort liabilities of the past 85 years.

This agreement came after the 12 December 2013 judgment of the US Bankruptcy Court for the Southern District of New York in Tronox Inc., et al., v. Kerr-McGee Corp., et al. (In re Tronox Inc.), 503 B.R. 239 (Bankr. S.D.N.Y. 2013).

On March 20, 2014, the Court of Appeals for the Eighth Circuit issued an important decision in Stoebner v. San Diego Gas & Electric Co. (In re LGI Energy Solutions Inc.), No. 12-3899, Slip Op. (8th Cir. Mar. 20, 2014) that expands the scope of the “subsequent new value” defense in lawsuits seeking to clawback alleged preference payments.

On March 7, the Spanish government reformed its bankruptcy law to encourage companies to restructure their debt and avoid liquidation. The decree is one part of an ongoing reform program intended to strengthen and stabilize the Spanish financial sector.  The reforms provide stronger incentives for lenders to accept write-offs, maturity extensions, and debt forgiveness for struggling companies. The new rules also reduce the majority of creditors needed to vote for a restructuring.

It seems that most bankruptcy decisions by the U.S. Supreme Court involve individual debtors, and the Supreme Court’s latest opinion is no exception. Even though the decision is not in a business bankruptcy case, it examines the bankruptcy court’s powers under Section 105(a) of the Bankruptcy Code.

Recently, the Belgian Continuity of Enterprises Act (hereinafter the “Act”) celebrated the fifth anniversary of its adoption by the Belgian parliament. Since its entry into force on 1 April 2009, the Act has been quite successful: in comparison with the former “Judicial Composition Act” of 17 July 1997, a significantly larger number of enterprises have had recourse to it. The Act does indeed offer a new range of options – including a potential judicial settlement with debtors – intended to help distressed companies to recover from their financial situation.

En décembre 2013, Chypre a notifié à la Commission européenne une aide de 102,9 millions EUR pour la restructuration de la compagnie aérienne nationale Cyprus Airways. Le plan de restructuration vise à rétablir la situation financière de l’entreprise qui rencontre des difficultés depuis de nombreuses années.
