Once a company is facing Administration (the most common insolvency process for a trading business – although see tip 2 below), the Administrators may look to sell the business and assets. This could be a pre-pack sale, or a regular administration sale and it may only be advertised to a select group of potential buyers or more widely in the market.

At the recent R3 Scotland Forum[1], experts in the hospitality and leisure sector came together with the restructuring and insolvency profession to discuss the issues the sector is facing as the country emerges from lockdown. The panel discussion which was chaired by Judith Howson, Senior Manager at French Duncan and member of the R3 Scotland Committee was led by Steven Fyfe, head of the Scotland Hotels Divisions within Savills.

On January 22, 2021 Madrid's commercial court judges approved a set of agreed procedures for handling insolvency proceedings in which liquidation is requested together with the insolvency order, as well as a number of criteria for transfers of productive units in these and other insolvency processes.

El impacto sostenido en la actividad económica que está teniendo la pandemia COVID-19 ha llevado al Gobierno, por un lado, a adoptar una serie de medidas destinadas a reforzar la liquidez y solvencia de las empresas y, por otro, a extender una vez más algunas de las medidas en el ámbito de la Administración de Justicia que se habían adoptado en el marco del Real Decreto-ley 16/2020, de 28 de abril, posteriormente confirmadas en la Ley 3/2020, de 18 de septiembre, así como en el Real Decreto-Ley 34/2020, de 17 de noviembre.

La Sala Primera del Tribunal Supremo ha dictado una nueva sentencia, la 46/2021, de 2 de febrero, en la que se confirma lo ya señalado en la Sentencia 4/2021, de 15 de enero de 2021. Dos sentencias miméticas en todo (casi hasta en las partes).

La doctrina ahora asentada por la 46/2021 se resume:

CVAs remain the restructuring tool of choice for businesses with multi-let properties. Since the start of the first UK lockdown, there has been a marked increase in the number of CVAs in the hospitality and retail sectors. Whilst vaccines are now being dispensed, the economic ramifications of the pandemic will persist for some time to come and as a result we expect to see many more CVAs being proposed, particularly in these sectors. The introduction of R3's Standard Form COVID-19 CVA Proposal could lead to an increase in the use of CVAs in the SME market too.

Los jueces de los juzgados mercantiles de Barcelona han publicado un conjunto de directrices básicas para la tramitación de los ‘pre-packs’ concursales españoles, introduciendo la herramienta, opcional, del “administrador silente” (‘silent administrator’). Las directrices se aprobaron en el contexto de un seminario organizado el pasado 20 de enero.

The judges of the Commercial Courts of Barcelona have released a set of basic guidelines for conducting Spanish insolvency pre-packs in that forum, by introducing the feature -of optional use- of the silent administrator. The guidelines were approved in the context of a seminar organized on January 20th.
