1. はじめに 新型コロナウイルス感染症により、入国制限等により人の移動が大きく制限され、旅客が大幅に減少しており、航空産業は大きな打撃を 受けています。そのような中、タイ政府は、本年 5 月 19 日、タイ国際航空が会社更生手続により再建を目指すことを決定 し、5 月 27 日、タイ中央破産裁判所は会社更生手続の申立てを受理しました。本年 8 月 17 日に第 1 回の債権者集会が開催される予定 です。 本ニューズレターでは、タイにおける事業再生に関する手続について解説します。 タイの倒産法制度は、破産と会社更生があり、いずれも 1940 年破産法 1 (Bankruptcy Act 1940)(「破産法」)に定められ、破産裁判所 (Bankruptcy Court)の監督下で実施されます。 会社更生手続(Business Reorganization)については、破産法の Chapter 3/1 に規定されており、支払能力のない債務者の事業維持と 再生を目的としています。アメリカ連邦倒産法の Chapter 11 を参考に立法されているため、Chapter 11 と類似している部分が多々見られま す。例えば、担保権者は原則として担保権の行使ができない点や、会社更生計画作成者が債務者の経営者でもよいとされ、DIP(Debtor In Possession)型も可能です。

For aircraft leasing companies, having to repossess an aircraft from an airline that misses its rental payments is usually an option of last resort. The repossession process in Thailand can be time-consuming and costly, and often precludes future earnings. However, as a number of Thai airlines have defaulted on their payments over recent years, lessors have been left with no choice but to seek recovery of their valuable assets. This article provides an overview of the practical and legal considerations of aircraft repossession in Thailand.
